Company formation & filings
Company formation
Forming a limited company creates a new legal person at Companies House: an entity that can own assets, enter contracts, employ people and owe debts in its own name, separate from the people who own and run it. The incorporation documents fix the company's name, registered office, directors, shareholders, share structure, articles of association and the register of people with significant control, and from the day of incorporation the company has filing obligations of its own. The decisions made in the application are cheap to get right and expensive to change afterwards, which is the case for using an accountant rather than a form.

In detail
How company formation works
Our fee for the formation itself is £49, and the Companies House incorporation fee of £100, as published on 25 September 2026, is shown separately and passed on at cost. The £99 package adds the HMRC registrations a trading company needs: Corporation Tax, which must be done within three months of starting to trade, and PAYE, which must be in place before the first salary, including the director's own. The £149 package adds a year of registered office service so that your home address stays off the public register. The £199 startup pack adds bookkeeping setup in cloud software with bank feeds connected, which is the single thing most new companies wish they had done at the start rather than at the first year end.
Two things have changed the formation process recently. Since 18 November 2025 every new director and person with significant control must verify their identity with Companies House, through GOV.UK One Login or an authorised corporate service provider, before they can be appointed; existing officers verify during a transition year at their next confirmation statement. And since March 2024 every company must have an appropriate registered office address where documents can be acknowledged, and a registered email address for Companies House correspondence. We walk every founder through the verification before filing and check that the verified identity is linked to the application, because an unverified director is the most common reason an incorporation is rejected.
The structural decisions deserve the most thought. A single founder usually takes one ordinary share, but two or more founders need to agree the split and consider whether different classes of share, often called alphabet shares, are worth having so that dividends can be paid in different proportions. The articles of association can be the model articles or bespoke; for most small companies the model articles are fine. The SIC code describes the trade on the public register and affects nothing operationally, but some lenders and marketplaces read it. The accounting reference date defaults to the end of the month of incorporation and can be changed. None of this is complicated when explained; all of it is a nuisance to change later.
Once the company exists, the deadlines begin. The first confirmation statement is due within 14 days of the first anniversary of incorporation, with a £50 Companies House fee. The first accounts are due 21 months after incorporation, and nine months after each year end thereafter. Corporation Tax is due nine months and one day after each year end, and the CT600 twelve months after it. We diarise every one of these for every company we form and send reminders as they approach, so that the company we set up carefully is not undone by a missed filing. For companies that will not trade yet we offer dormant formation at £29; for membership organisations, companies limited by guarantee at £49; for overseas founders, non-resident formation with a UK registered office from £149.
Process
From first message to filed
Tell us your situation
A short message or call about what you do and what needs filing. We ask the questions that determine the right package and nothing more.
Fixed fee in writing
You receive one price for the work, confirmed by email before anything starts. It does not change if the job takes longer than we expected.
Send records, review the draft
Records come by WhatsApp or email. We prepare the draft, explain the figures in plain English and answer your questions.
We file, you get the receipts
Once you approve and the fee is settled, we submit electronically and forward the HMRC or Companies House acknowledgement the same day.
Worth knowing
Rules that come up in this work
Switching accountants
You can switch accountant at any point in the year. The new firm requests clearance and your records from the old one, which cannot withhold your own documents though it may hold its own working papers until its fees are settled. Agent authorisations with HMRC and Companies House are transferred, and the next deadline is picked up without a gap.
Closing a company
Voluntary strike-off is available only to solvent companies. One that owes money it cannot pay needs a creditors' voluntary liquidation through a licensed insolvency practitioner, and directors who dissolve an insolvent company face personal consequences. For a solvent company the process takes three to four months from filing the DS01, with notice to creditors and shareholders within seven days.
Crypto records and reporting
Most crypto holders have taxable events they do not recognise, because every swap is a disposal even when no pounds change hands. The computation requires the complete transaction history from every exchange and wallet, pooled by asset with HMRC's matching rules applied. Exchange-generated tax reports are frequently wrong because they cannot see transfers between a user's own wallets.
The 60-day property CGT return
The 60-day Capital Gains Tax return on residential property is the deadline landlords most often miss, because it falls outside the Self Assessment cycle and runs from completion, not exchange. Private residence relief for periods you lived in the property, plus the final nine months, reduces the gain. Penalties for a late return mirror Self Assessment, starting at £100.
Record keeping
Good records are the difference between a quick enquiry and a long one. For the self-employed, five years after the filing deadline; for companies, six years from the year end; for VAT, six years. Photographs of receipts, PDF statements and software exports all count. The requirement is to keep records, not paper, and a well-organised cloud folder satisfies it.
Allowable expenses
The expenses sole traders most often miss are home working costs, claimed by actual proportion or HMRC's flat rate, the business share of phone and internet, mileage at 45p for the first 10,000 business miles, and training that maintains existing skills. The ones most often claimed wrongly are commuting, entertaining customers and clothes that could be worn outside work.
Employer National Insurance
The cost of an employee is more than the salary. Employer National Insurance at 15% above £5,000 a year, the 3% minimum pension contribution, holiday pay, equipment and management time all come on top. The Employment Allowance of £10,500 reduces the National Insurance for most employers with more than one person on the payroll.
Questions
Company Formation: your questions answered
What does it cost in total?
Our formation-only fee is £49, plus the Companies House incorporation fee of £100 which we pass on at cost and show separately. So a basic formation is £149 all in. The £99 package adds Corporation Tax and PAYE registration, £149 adds a year's registered office, and the £199 startup pack includes registrations and bookkeeping setup.
How long does incorporation take?
Companies House usually approves online incorporations within 24 hours, often the same working day. We need your chosen name, the registered office address, details of each director and shareholder with their identity verification, the share structure and your SIC code. Most clients give us everything in one conversation.
Do directors need to verify their identity?
Yes. Since 18 November 2025 every new director and person with significant control must verify their identity with Companies House before or at incorporation, through GOV.UK One Login or an authorised agent. We tell you exactly how to do it and check that the verification is linked before we file.
Can I use my home address?
You can, but it becomes public on the Companies House register as the registered office and as your service address. Most founders prefer not to. Our registered office service at £69 a year provides a London address for official post, and the £149 formation package includes the first year.
What share structure should I have?
For a single founder, one ordinary share of £1 is usual. For two or more, the split should reflect the agreed ownership and may use different share classes to allow different dividend payments. We discuss this before filing, because changing it later needs resolutions and filings. We also advise on whether a shareholders' agreement is worth having.
What is a SIC code and which one do I need?
The Standard Industrial Classification code describes what the company does and appears on the public register. You can have up to four. We pick the right ones from the official list for your trade. Changing them later is done through the confirmation statement, which is our £39 SIC change service.
Does the company need to register for Corporation Tax?
Yes, within three months of starting to trade. HMRC usually issues the company's Unique Taxpayer Reference by post shortly after incorporation. Registration for Corporation Tax is included in our £99 package and above; the formation-only package leaves it to you, and we tell you how.
When should I register for VAT and PAYE?
VAT when taxable turnover will exceed £90,000 in a rolling 12 months, or voluntarily before if it helps. PAYE before the first salary payment, including to yourself as director. Both are included in the £99 package or available separately at £49 each.
What happens after the company is formed?
You receive the certificate of incorporation, memorandum and articles, share certificates and the company's authentication code. Then the deadlines start: first confirmation statement within 12 months and 14 days, first accounts within 21 months, Corporation Tax payment nine months after the first year end. We diarise all of them and remind you.
Can I form a company if I live outside the UK?
Yes. A UK company can have non-resident directors and shareholders, but it must have a UK registered office and directors must complete identity verification. Our non-resident formation service at £149 includes the registered office; HMRC registrations and a bank account introduction are handled in the £219 and £349 packages.
What is the difference between a limited company and a sole trader?
A company is a separate legal person: it owns the business, owes the debts and pays Corporation Tax, and you take income as salary and dividends. A sole trader is personally liable and pays income tax on all profits. Companies cost more to run but can save tax at higher profits and protect personal assets. Our free comparison tool shows the numbers.
Can you form a company limited by guarantee or a dormant company?
Yes. Companies limited by guarantee, used by clubs, charities and community groups, are £49 with bespoke objects at £99. Dormant company formation, for protecting a name or holding a future business, is £29. Both carry the £100 Companies House fee and both have their own service pages.
