Company formation & filings
Confirmation statement filing
The confirmation statement is the annual filing by which a company confirms to Companies House that the information on the public register is correct: the registered office, the directors and secretary, the SIC codes describing the business, the statement of capital, the shareholders and the register of people with significant control. It replaced the annual return in 2016 and is required at least once every twelve months, within fourteen days of the end of the review period, whether or not anything has changed and whether or not the company is trading. The Companies House fee is £50, as published on 25 September 2026, and is payable with every statement.

In detail
How confirmation statement filing works
Our fee is £33 for a statement where the register is correct and nothing needs changing, £49 where SIC codes, the statement of capital or shareholder details need updating within the statement, and £69 to rescue an overdue statement quickly before Companies House proceeds to strike-off. The £33 a year service diarises the review date, sends you a summary of the register a month before, confirms or corrects it with you and files. In each case the £50 Companies House fee is shown separately and passed on at cost. The work is the review: a director who resigned but was never removed, a shareholder who sold their shares, a registered office that moved, a SIC code from a business the company stopped doing years ago. These are what make an apparently simple filing wrong.
The statement has acquired new content under the Economic Crime and Corporate Transparency Act. Since March 2024 every company must have a registered email address at Companies House, used for official communications and not published, and companies that have not supplied one do so with their next statement. Every statement must include a declaration that the company's intended future activities are lawful. And from the transition year beginning November 2025, the statement is the point at which existing directors and people with significant control confirm they have completed identity verification; unverified officers after their deadline can cause the statement to be rejected. We check all three before filing.
Changes divide into two kinds. SIC codes, the statement of capital and shareholder information can be updated within the statement itself, and share transfers during the year are reported this way rather than on a separate form, supported by stock transfer forms and the company's own register of members. Changes to directors and secretaries, the registered office, the PSC register and the registered email address must be filed on their own forms, AP01, TM01, CH01, AD01, PSC01 and so on, before or alongside the statement. We handle both kinds and our separate director, PSC, address and SIC code change services exist for changes made at other times of the year.
Missing the statement carries no automatic fine, unlike late accounts, but it is a criminal offence for the company and its officers, and Companies House responds by starting compulsory strike-off, which if not stopped dissolves the company and passes its assets to the Crown. The overdue flag on the register is also visible to lenders, suppliers and customers who check. Dormant companies must file in exactly the same way, and our dormant accounts service files the statement and the AA02 together. Filing early does not move the review date, so there is never a reason to wait for the window. Everything is online, fees are fixed and the deadline is tracked for every client.

Worth knowing
Rules that come up in this work
Payments on account
If your Self Assessment bill exceeds £1,000 and less than 80% of your tax was collected at source, HMRC asks for two advance payments towards the following year, each half of the current bill, due 31 January and 31 July. The first year this happens the January payment is effectively one and a half times the bill. We model it in advance and show you how to reduce the payments if income is falling.
Late filing penalties
Penalties are the clearest reason to work to deadlines. A Self Assessment return one day late costs £100 regardless of whether any tax is due; three months late adds £10 a day. Late company accounts start at £150 and reach £1,500, and double if the previous year was also late. None of this is negotiable afterwards except through a narrow reasonable-excuse appeal.
Making Tax Digital for Income Tax
MTD for Income Tax replaces one annual return with quarterly digital updates and a year-end declaration, submitted from software. The threshold is gross trading and property income, measured two years earlier, and started at £50,000 in April 2026 before falling to £30,000 in April 2027. Anyone affected needs digital record keeping in place before their start date, not after.
The VAT registration threshold
Watching the rolling twelve-month turnover figure is one of the quiet jobs of monthly bookkeeping, because the £90,000 VAT threshold arrives silently. Crossing it brings quarterly returns, Making Tax Digital software and a decision about schemes. Crossing it late brings a bill for VAT you could not recover from customers and a penalty for failing to notify.
Corporation Tax rates and marginal relief
Companies pay Corporation Tax at 19% on profits up to £50,000 and 25% on profits over £250,000. Between those figures marginal relief applies, producing an effective rate that rises gradually and a marginal rate of 26.5% on each pound in the band. The thresholds are divided by the number of associated companies, so a director with two companies has thresholds of £25,000 and £125,000 for each.
Salary versus dividends
Paying yourself from a company involves two routes with different tax treatment. Salary through payroll is a company expense and builds a National Insurance record; dividends come from post-tax profit at lower personal rates. Undocumented drawings that are neither become director's loans, with a 35.75% section 455 charge if not repaid within nine months of the year end.
Director's loan accounts
Money taken from a company has to be something: salary, dividend, expense reimbursement or loan. If it is a loan and remains outstanding nine months after the year end, the company pays tax at the dividend higher rate on it until it is repaid. Clearing the balance with a properly declared dividend before the deadline, where reserves allow, is routine year-end work.
Questions
Confirmation Statement Filing: your questions answered
What is a confirmation statement?
An annual filing confirming that the information Companies House holds about your company is correct: registered office, officers, SIC codes, share capital, shareholders and people with significant control. It replaced the annual return in 2016. It is due at least once every 12 months, within 14 days of the end of the review period.
What does it cost in total?
Our fee is £33 for a straightforward statement, plus the Companies House fee of £50 which we pass on at cost, so £83 in total. If SIC codes, shareholders or capital need updating within the statement our fee is £49 plus £50. An overdue statement is £69 plus £50. The annual service is £33 a year plus the fee each year.
When is my confirmation statement due?
Your review period is 12 months from incorporation or from your last statement date, and you have 14 days after it ends to file. The date is shown on the Companies House register. Filing early does not change your review date, so a company can file at any convenient point in the year without penalty.
What happens if it is late?
There is no automatic financial penalty as there is for accounts, but failing to file is a criminal offence for the company and its directors, and Companies House will start compulsory strike-off proceedings, which can see the company dissolved and its assets pass to the Crown. Lenders and customers also see the overdue flag on the register.
What can be updated within a confirmation statement?
SIC codes, the statement of capital and shareholder details can be changed within the statement itself. Changes to directors, the registered office, the PSC register and the registered email address must be filed on their own forms first, before or alongside the statement. We handle both kinds.
What is the registered email address requirement?
Since March 2024 every company must have a registered email address at Companies House, used for official communications and not shown publicly. Companies that have not yet provided one must do so with their next confirmation statement. We confirm or update it as part of the filing.
What is the lawful-purpose statement?
Since March 2024 every confirmation statement must include a statement that the company's intended future activities are lawful. It is a tick-box declaration but a formal one, made by the directors. We include it in every filing and explain its meaning.
Does identity verification affect my confirmation statement?
Yes. During the transition year from November 2025, existing directors and people with significant control must verify their identity with Companies House, and the confirmation statement is the point at which the company confirms this has been done. Unverified officers after the deadline can lead to the statement being rejected. We check status before filing.
My company is dormant. Do I still need to file one?
Yes. The confirmation statement is required regardless of trading status. Dormant companies must file both the statement and dormant accounts each year. Our dormant accounts package files both together for £79 plus the £50 Companies House fee.
What if the shareholders have changed?
Transfers of shares are recorded in the company's own registers and reported to Companies House on the next confirmation statement, not on a separate form. We update the shareholder information within the statement at the £49 fee and remind you that the stock transfer forms and register entries should exist to support it.
Can I change my SIC code with the statement?
Yes, that is the only way to change it. Up to four SIC codes can be given. If the company's activities have changed, or the original code was wrong, we update it within the statement. Our SIC code change service at £39 plus the Companies House fee does exactly this when nothing else needs changing.
How does the annual service work?
We record your review date, remind you a month before, send a summary of the register for you to confirm or correct, make any updates and file. The fee is £33 each year plus the £50 Companies House fee. It is the cheapest way never to receive a Companies House warning letter.
