Company formation & filings
UK company formation for non-residents
The United Kingdom places no residence or nationality requirement on the directors or shareholders of a private limited company. A founder in Lahore, Lagos, Dubai or Toronto can own and direct a UK company outright, and many do, because UK companies are cheap to form, well understood by customers and counterparties worldwide, and accepted by payment providers and marketplaces that are harder to access from some other jurisdictions. What the company does need is a registered office in the part of the UK where it is incorporated, a registered email address, directors whose identities have been verified with Companies House, and a realistic understanding of where it will pay tax.

In detail
How non-resident uk company formation works
Our non-resident formation at £149 plus the £100 Companies House fee includes incorporation with overseas directors and shareholders and a London registered office for the first year, with official post scanned and emailed to you. The £219 package adds the HMRC registrations the company will need: Corporation Tax always, and PAYE and VAT where the business requires them, which for a non-established business selling goods in the UK means VAT from the first sale, since there is no registration threshold. The £349 full pack adds the first confirmation statement and the first accounts, so the first-year deadlines that catch many overseas founders are handled. The registered office renews at £69 a year.
Identity verification is the step that has changed most. Since 18 November 2025 every new director and person with significant control must verify their identity with Companies House before appointment, through GOV.UK One Login using a passport or national identity card with a biometric check, or through an authorised corporate service provider. Most overseas founders can complete One Login remotely in a day; where a document type is not supported we explain the alternative. We check that each verification is linked before filing, because an unverified director is the commonest reason an incorporation is rejected.
Tax is where honest advice matters most. A company incorporated in the UK is UK tax resident and pays Corporation Tax on its worldwide profits at between 19% and 25%, wherever its owners live, unless a double tax treaty treats it as resident in another country because it is managed and controlled there, in which case the position is more complex rather than simpler. The founder's own country may tax the company, its profits or its dividends under its own rules, and UK dividends to a non-resident shareholder carry no UK withholding. A salary to a director who neither lives nor works in the UK is generally outside UK PAYE but may be taxable at home. We set out the UK side clearly before you incorporate and recommend local advice on the other side where it is needed.
Banking is the practical obstacle. UK high-street banks rarely open accounts for companies without a UK-resident director. A number of digital banks and payment providers do, subject to their own conditions, and most non-resident-owned companies operate through them; we explain the realistic options for your circumstances and take no commission from any provider. We do not supply nominee directors, and some marketplaces and processors have their own preferences about UK-resident officers, which is a commercial matter rather than a legal one. After the first year the company's ongoing filings are the same as any UK company and our limited company accounts and e-commerce services take over. Everything is done online, at fixed fees agreed before we start.

Worth knowing
Rules that come up in this work
CIS deductions
CIS turns construction subcontractors into advance taxpayers: a fifth of every labour payment goes to HMRC before they see it. Registering keeps the rate at 20% rather than 30%; gross payment status, for established businesses with a clean record, removes deductions altogether. The annual return is where the overpayment comes back, and filing it early brings the refund sooner.
Confirmation statements and identity verification
The confirmation statement is the annual check that the public register is right: officers, registered office, SIC codes, shareholders and the PSC register. It carries a £50 fee and no financial penalty for lateness, but failure to file leads to compulsory strike-off. The identity verification regime introduced in November 2025 has added a further check to every statement.
Payments on account
Payments on account catch out most people in their second year of self-employment. HMRC assumes next year's tax will match this year's and collects half in January and half in July, in advance, on top of the balancing payment. If profits are dropping you can apply to reduce them, but reducing them too far attracts interest. We calculate the right figure rather than guessing.
The Self Assessment calendar
The tax year runs from 6 April to 5 April. Anyone new to Self Assessment must register by 5 October after the end of the tax year in which their untaxed income began. The online return and the balancing payment are due by 31 January, with a second payment on account on 31 July where they apply. Paper returns have an earlier deadline of 31 October and are rarely sensible.
Making Tax Digital for Income Tax
MTD for Income Tax replaces one annual return with quarterly digital updates and a year-end declaration, submitted from software. The threshold is gross trading and property income, measured two years earlier, and started at £50,000 in April 2026 before falling to £30,000 in April 2027. Anyone affected needs digital record keeping in place before their start date, not after.
Late filing penalties
Lateness is expensive in a way that compounds. For individuals, £100 immediately, then daily penalties, then percentage-based ones at six and twelve months, with interest running on unpaid tax throughout. For companies, Companies House penalties scale with delay and double on repeat, and HMRC adds its own for a late CT600. Filing on time is the cheapest tax planning there is.
Corporation Tax rates and marginal relief
Since April 2023 there have been two Corporation Tax rates, 19% small profits and 25% main, with marginal relief smoothing the transition between £50,000 and £250,000 of profit. The band is where planning matters: each pound of profit in it is taxed at an effective 26.5%, so pension contributions and capital expenditure timed to keep profit below £50,000 are worth more than they look.
Questions
Non-Resident UK Company Formation: your questions answered
Can a non-UK resident form and own a UK company?
Yes. There is no residence or nationality requirement for directors or shareholders of a UK private company. The company must have a registered office in the UK jurisdiction where it is registered (England and Wales, Scotland or Northern Ireland) and a registered email address, and directors must complete identity verification. Our £149 package covers the office for a year.
What does it cost in total?
Formation with a year's UK registered office is £149 plus the £100 Companies House fee, so £249. Adding Corporation Tax, PAYE and VAT registrations as needed is £219 plus £100. The £349 full pack adds the first confirmation statement (Companies House £50 fee separate) and first accounts. Registered office renewal is £69 a year thereafter.
How do overseas directors verify their identity?
Through GOV.UK One Login using a passport or national identity card and a biometric check on a phone, or through an authorised corporate service provider. Most overseas directors can complete One Login remotely. Where a document type is not supported we explain the alternative route. Verification must be done before incorporation.
Will the company pay UK tax?
Yes. A company incorporated in the UK is UK tax resident and pays Corporation Tax on its worldwide profits at 19% to 25%, regardless of where its owners live, unless a double tax treaty makes it resident elsewhere because it is managed and controlled there. The owner's country may also tax the company or its dividends. We explain the position for your country before you incorporate.
Can I open a UK bank account from abroad?
High-street banks generally will not open accounts for companies with no UK-resident director. Several digital banks and payment providers do, with varying conditions, and many non-resident-owned companies operate through them successfully. We explain the realistic options for your circumstances; we do not open accounts for you and we take no commission.
Do I need a UK VAT number?
If the company makes taxable supplies in the UK above £90,000 you must register; a non-established business selling goods in the UK must register from the first sale, with no threshold. Many e-commerce sellers need registration from day one. The £219 package includes VAT registration where required.
What is the registered office service?
A London address used as the company's official address on the public register, where Companies House and HMRC send post. We scan and email official post to you. It is included for the first year in all non-resident packages and renews at £69 a year. It is not a trading address or a virtual office for customer mail.
Does the company need a UK director?
No. Companies House does not require one. Some banks, marketplaces and payment providers prefer or require a UK-resident director or a UK-resident person with significant control, and that is a commercial matter rather than a legal one. We do not supply nominee directors.
What ongoing filings will the company have?
A confirmation statement each year with the £50 Companies House fee, annual accounts within nine months of the year end, a Corporation Tax return within twelve months, VAT returns quarterly if registered, and payroll submissions if the company employs anyone in the UK. Our limited company accounts service handles these after the first year.
Can the company employ me as director while I live abroad?
Yes, but a salary paid to a director who is not UK resident and does not work in the UK is usually not subject to UK PAYE, and may be taxable where you live. Dividends to a non-resident shareholder carry no UK withholding tax. The right extraction route depends on your country's rules, and we explain the UK side.
Is a UK company useful for selling on UK marketplaces?
Often, yes. Marketplaces and payment processors frequently treat UK entities differently, and UK consumers may prefer a UK seller. But the company remains non-established for VAT if it has no UK fixed establishment, so marketplace VAT collection rules and immediate registration apply. Our e-commerce service handles the detail once trading.
How long does it take?
Identity verification is the pacing item and can usually be completed in a day. Once verified, Companies House typically incorporates within 24 hours. HMRC registrations follow within two to four weeks. Most overseas founders have a trading company with a UTR within three weeks of first contact.
