Company formation in Tone

Founders in Tone often incorporate themselves in ten minutes and spend months fixing the result: wrong share classes, a home address on the public register, no Corporation Tax registration, a missed first confirmation statement. We set the company up to avoid all of that, for a fixed fee, and track the first-year deadlines for every company we form across West Midlands.

from £49 · fixed, one-off

Next deadlines

  • Companies House identity verification for directors and PSCs, phased in from 18 November 2025

  • Companies House accounts due 9 months after your year end (a 31 December year end files by 30 September)
  • Corporation Tax payment, 9 months and 1 day after your year end (a 31 December year end pays by 1 October)

A short message or call about what you do and what needs filing. We ask the questions that determine the right package and nothing more.

  2. Fixed fee in writing

You receive one price for the work, confirmed by email before anything starts. It does not change if the job takes longer than we expected.

  3. Send records, review the draft

Records come by WhatsApp or email. We prepare the draft, explain the figures in plain English and answer your questions.

  4. We file, you get the receipts

Once you approve and the fee is settled, we submit electronically and forward the HMRC or Companies House acknowledgement the same day.

Why IGI

The IGI way of working, in Tone

The price for company formation is published on this page and is what a client in Tone pays. We confirm it in writing first, and the invoice matches the quote.

Deadline-first: the dates that matter for company formation are shown at the top of this page, diarised for every Tone client and chased before they arrive.

Online only, UK based. There is no office in Tone to pay for, which is why the fee is the same here as anywhere in England; the work is done by people in the UK who answer the same day.

Continuity matters in company formation: the person who prepared last year's work for your Tone business prepares this year's, and remembers what was agreed.

The output for Tone clients is never just a form. It is the form, a one-page summary of what it says, and a note of the decisions it points to for company formation.

Approval before filing is a rule, not a courtesy. For company formation in Tone, every submission to HMRC or Companies House follows your written go-ahead.

Worth knowing

Rules that come up in this work

Director's loan accounts

A director's loan account records money moving between a director and the company that is not salary or dividend. If the director owes the company money nine months and one day after the year end, the company pays section 455 tax at 35.75% of the balance, refundable only when the loan is repaid. Loans over £10,000 are also a benefit in kind unless interest is charged at HMRC's official rate.

The VAT registration threshold

VAT registration is compulsory once taxable turnover in any rolling twelve-month period exceeds £90,000, or when you expect to exceed that in the next thirty days alone. The test is rolling, not by tax year, and includes zero-rated sales. Businesses regularly cross it without noticing, and late registration means accounting for VAT on sales where it was never charged to customers.

Corporation Tax rates and marginal relief

Corporation Tax is not a flat rate. Profits to £50,000 pay 19%, profits above £250,000 pay 25%, and the band between is taxed at an effective marginal rate of 26.5% through the marginal relief mechanism. Associated companies share the thresholds, which catches directors who own more than one company and is the most common cause of underpaid tax in owner-managed groups.

Confirmation statements and identity verification

Every company must file a confirmation statement at least once a year, within fourteen days of its review date, with a £50 Companies House fee. Since November 2025 directors and people with significant control must also verify their identity with Companies House, and the confirmation statement is where existing officers confirm they have done so during the transition year.

CIS deductions

The Construction Industry Scheme affects both sides of a construction payment. Contractors must verify subcontractors, deduct the right amount, issue statements and file monthly, with penalties from £100 for each late return. Subcontractors suffer deductions on turnover and recover the excess at the year end. Limited company subcontractors offset deductions against PAYE monthly instead.

Switching accountants

Changing accountant is simpler than most people fear. You authorise the new firm, which writes to the old one for professional clearance and your records; the outgoing accountant must hand over your own documents and usually does within two weeks. The new firm registers as your agent with HMRC and picks up the next filing. There is no need to wait for a year end.

Closing a company

A solvent company that has finished its purpose can be dissolved by voluntary strike-off: form DS01 with a £13 Companies House fee, after three months without trading and with all debts paid, final accounts and tax return filed, and assets distributed. HMRC objects to any application where returns or tax are outstanding, so the sequence matters more than the form.

Questions

Company Formation questions from Tone

What happens after the company is formed?

You receive the certificate of incorporation, memorandum and articles, share certificates and the company's authentication code. Then the deadlines start: first confirmation statement within 12 months and 14 days, first accounts within 21 months, Corporation Tax payment nine months after the first year end. We diarise all of them and remind you.

Can I form a company if I live outside the UK?

Yes. A UK company can have non-resident directors and shareholders, but it must have a UK registered office and directors must complete identity verification. Our non-resident formation service at £149 includes the registered office; HMRC registrations and a bank account introduction are handled in the £219 and £349 packages.

Does the company need to register for Corporation Tax?

Yes, within three months of starting to trade. HMRC usually issues the company's Unique Taxpayer Reference by post shortly after incorporation. Registration for Corporation Tax is included in our £99 package and above; the formation-only package leaves it to you, and we tell you how.

When should I register for VAT and PAYE?

VAT when taxable turnover will exceed £90,000 in a rolling 12 months, or voluntarily before if it helps. PAYE before the first salary payment, including to yourself as director. Both are included in the £99 package or available separately at £49 each.

What share structure should I have?

For a single founder, one ordinary share of £1 is usual. For two or more, the split should reflect the agreed ownership and may use different share classes to allow different dividend payments. We discuss this before filing, because changing it later needs resolutions and filings. We also advise on whether a shareholders' agreement is worth having.

What is a SIC code and which one do I need?

The Standard Industrial Classification code describes what the company does and appears on the public register. You can have up to four. We pick the right ones from the official list for your trade. Changing them later is done through the confirmation statement, which is our £39 SIC change service.

Do you have an office in Tone?

No. IGI Accounting is an online-only firm. We serve Tone and every other UK postcode remotely, with records sent by WhatsApp or email and everything filed electronically. The absence of local premises is why the fee for company formation is the same in Tone as anywhere else in the country, and why there is nothing to visit and nothing to print.

Is company formation in Tone really the same price as elsewhere?

Yes. The fee published on this page is what a client in Tone pays and what a client in any other part of England pays. It is confirmed in writing before work starts and the invoice matches the quote. Where a higher package applies because your situation is more complex, we say so at the quote stage, never afterwards.
