Company formation in Yearby
Founders in Yearby often incorporate themselves in ten minutes and spend months fixing the result: wrong share classes, a home address on the public register, no Corporation Tax registration, a missed first confirmation statement. We set the company up to avoid all of that, for a fixed fee, and track the first-year deadlines for every company we form across North East.
from £49 · fixed, one-off

- Companies House accounts due 9 months after your year end (a 31 December year end files by 30 September)
- Corporation Tax payment, 9 months and 1 day after your year end (a 31 December year end pays by 1 October)

Why IGI
The IGI way of working, in Yearby
The price for company formation is published on this page and is what a client in Yearby pays. We confirm it in writing first, and the invoice matches the quote.
Deadline-first: the dates that matter for company formation are shown at the top of this page, diarised for every Yearby client and chased before they arrive.
Online only, UK based. There is no office in Yearby to pay for, which is why the fee is the same here as anywhere in England; the work is done by people in the UK who answer the same day.
Continuity matters in company formation: the person who prepared last year's work for your Yearby business prepares this year's, and remembers what was agreed.
The output for Yearby clients is never just a form. It is the form, a one-page summary of what it says, and a note of the decisions it points to for company formation.
Approval before filing is a rule, not a courtesy. For company formation in Yearby, every submission to HMRC or Companies House follows your written go-ahead.

Worth knowing
Rules that come up in this work
Switching accountants
The main reasons people switch accountant are surprise invoices, missed deadlines and not understanding what they are being told. Switching involves a clearance letter between the firms, a transfer of records and agent authorisations, and a short handover of the current position. It takes about two weeks and should cost nothing extra.
Closing a company
A solvent company that has finished its purpose can be dissolved by voluntary strike-off: form DS01 with a £13 Companies House fee, after three months without trading and with all debts paid, final accounts and tax return filed, and assets distributed. HMRC objects to any application where returns or tax are outstanding, so the sequence matters more than the form.
Confirmation statements and identity verification
Every company must file a confirmation statement at least once a year, within fourteen days of its review date, with a £50 Companies House fee. Since November 2025 directors and people with significant control must also verify their identity with Companies House, and the confirmation statement is where existing officers confirm they have done so during the transition year.
CIS deductions
Under the Construction Industry Scheme, contractors deduct 20% from a registered subcontractor's labour invoices, or 30% if unregistered, and pay it to HMRC. The subcontractor reclaims the deductions against their actual tax through Self Assessment, usually producing a refund because deductions are on turnover while tax is on profit. Contractors file a monthly return by the 19th.
Late filing penalties
HMRC's penalties for a late Self Assessment return are automatic: £100 the day after 31 January, £10 a day from three months late up to £900, then the greater of £300 or 5% of the tax at six and twelve months. Interest and separate late-payment penalties apply to the tax itself. Companies House charges £150 to £1,500 for late accounts, doubling for a second consecutive year.
Making Tax Digital for Income Tax
Making Tax Digital for Income Tax began in April 2026 for sole traders and landlords with qualifying income over £50,000, extends to those over £30,000 in April 2027 and is planned for £20,000 in April 2028. It requires digital records in compatible software and four quarterly updates to HMRC each year, with a final declaration replacing the traditional return. Payment dates are unchanged.
The Self Assessment calendar
Self Assessment runs on a fixed annual cycle. Registration by 5 October following the tax year, online filing and payment by 31 January, and a second instalment on 31 July for those making payments on account. The penalties for lateness are automatic and escalate monthly, which is why we file early and chase approvals well before the window closes.
Questions
Company Formation questions from Yearby
Does the company need to register for Corporation Tax?
Yes, within three months of starting to trade. HMRC usually issues the company's Unique Taxpayer Reference by post shortly after incorporation. Registration for Corporation Tax is included in our £99 package and above; the formation-only package leaves it to you, and we tell you how.
When should I register for VAT and PAYE?
VAT when taxable turnover will exceed £90,000 in a rolling 12 months, or voluntarily before if it helps. PAYE before the first salary payment, including to yourself as director. Both are included in the £99 package or available separately at £49 each.
What share structure should I have?
For a single founder, one ordinary share of £1 is usual. For two or more, the split should reflect the agreed ownership and may use different share classes to allow different dividend payments. We discuss this before filing, because changing it later needs resolutions and filings. We also advise on whether a shareholders' agreement is worth having.
What is a SIC code and which one do I need?
The Standard Industrial Classification code describes what the company does and appears on the public register. You can have up to four. We pick the right ones from the official list for your trade. Changing them later is done through the confirmation statement, which is our £39 SIC change service.
Do directors need to verify their identity?
Yes. Since 18 November 2025 every new director and person with significant control must verify their identity with Companies House before or at incorporation, through GOV.UK One Login or an authorised agent. We tell you exactly how to do it and check that the verification is linked before we file.
Can I use my home address?
You can, but it becomes public on the Companies House register as the registered office and as your service address. Most founders prefer not to. Our registered office service at £69 a year provides a London address for official post, and the £149 formation package includes the first year.
Do you have an office in Yearby?
No. IGI Accounting is an online-only firm. We serve Yearby and every other UK postcode remotely, with records sent by WhatsApp or email and everything filed electronically. The absence of local premises is why the fee for company formation is the same in Yearby as anywhere else in the country, and why there is nothing to visit and nothing to print.
Is company formation in Yearby really the same price as elsewhere?
Yes. The fee published on this page is what a client in Yearby pays and what a client in any other part of England pays. It is confirmed in writing before work starts and the invoice matches the quote. Where a higher package applies because your situation is more complex, we say so at the quote stage, never afterwards.
