Company formation in Y Fali
Founders in Y Fali often incorporate themselves in ten minutes and spend months fixing the result: wrong share classes, a home address on the public register, no Corporation Tax registration, a missed first confirmation statement. We set the company up to avoid all of that, for a fixed fee, and track the first-year deadlines for every company we form across Wales.
from £49 · fixed, one-off
Next deadlines
- Companies House identity verification for directors and PSCs, phased in from 18 November 2025
- Confirmation statement due within 14 days of your review date, at least once every 12 months
- Companies House accounts due 9 months after your year end (a 31 December year end files by 30 September)
- Corporation Tax payment, 9 months and 1 day after your year end (a 31 December year end pays by 1 October)

Local facts
About Y Fali
Y Fali is in Wales, Wales. Welsh taxpayers pay Welsh rates of income tax, set by the Senedd and currently matching the English bands, collected under a C-prefixed tax code. National Insurance, VAT and Corporation Tax are UK-wide. Property purchases in Wales pay Land Transaction Tax to the Welsh Revenue Authority rather than Stamp Duty, with its own bands and rates.

Worth knowing
Rules that come up in this work
Record keeping
Good records are the difference between a quick enquiry and a long one. For the self-employed, five years after the filing deadline; for companies, six years from the year end; for VAT, six years. Photographs of receipts, PDF statements and software exports all count. The requirement is to keep records, not paper, and a well-organised cloud folder satisfies it.
Allowable expenses
Expense claims are where a return is won or lost in an enquiry. The test is wholly and exclusively for the trade; where a cost is mixed, the business proportion can be claimed if it can be identified. Capital items such as equipment and vans are relieved through capital allowances rather than as expenses, except under the cash basis where they are simply deducted when paid.
Employer National Insurance
Employers pay National Insurance at 15% on each employee's earnings above the £5,000 secondary threshold, following the April 2025 changes. The Employment Allowance offsets up to £10,500 of this for eligible employers, which for a small team often removes the liability entirely, but companies where the director is the only employee do not qualify.
Workplace pensions and auto-enrolment
Workplace pension compliance is part of payroll, not separate from it. Each pay period the payroll assesses who is eligible, calculates employer and employee contributions on qualifying earnings between the lower and upper thresholds, and sends the contribution file to the scheme. The minimum total is 8%, and many employers choose to contribute more as a recruitment advantage.
Dormant companies
A dormant company is one with no significant accounting transactions in the year, where the only permitted entries are the payment for shares on incorporation, Companies House fees and penalties. It still files a confirmation statement and simplified dormant accounts every year. A bank charge or an accountant's fee paid from the company ends dormancy and requires full accounts.
The trading and property allowances
The first £1,000 of trading income and, separately, the first £1,000 of property income each year is tax free under the trading and property allowances. Below those figures no return is needed for that income. Above them you can deduct the £1,000 allowance instead of actual expenses if that is better, which suits side businesses and single-room lets with few costs.
Switching accountants
You can switch accountant at any point in the year. The new firm requests clearance and your records from the old one, which cannot withhold your own documents though it may hold its own working papers until its fees are settled. Agent authorisations with HMRC and Companies House are transferred, and the next deadline is picked up without a gap.
Questions
Company Formation questions from Y Fali
Can you form a company limited by guarantee or a dormant company?
Yes. Companies limited by guarantee, used by clubs, charities and community groups, are £49 with bespoke objects at £99. Dormant company formation, for protecting a name or holding a future business, is £29. Both carry the £100 Companies House fee and both have their own service pages.
What is the difference between a limited company and a sole trader?
A company is a separate legal person: it owns the business, owes the debts and pays Corporation Tax, and you take income as salary and dividends. A sole trader is personally liable and pays income tax on all profits. Companies cost more to run but can save tax at higher profits and protect personal assets. Our free comparison tool shows the numbers.
Does the company need to register for Corporation Tax?
Yes, within three months of starting to trade. HMRC usually issues the company's Unique Taxpayer Reference by post shortly after incorporation. Registration for Corporation Tax is included in our £99 package and above; the formation-only package leaves it to you, and we tell you how.
When should I register for VAT and PAYE?
VAT when taxable turnover will exceed £90,000 in a rolling 12 months, or voluntarily before if it helps. PAYE before the first salary payment, including to yourself as director. Both are included in the £99 package or available separately at £49 each.
What share structure should I have?
For a single founder, one ordinary share of £1 is usual. For two or more, the split should reflect the agreed ownership and may use different share classes to allow different dividend payments. We discuss this before filing, because changing it later needs resolutions and filings. We also advise on whether a shareholders' agreement is worth having.
What is a SIC code and which one do I need?
The Standard Industrial Classification code describes what the company does and appears on the public register. You can have up to four. We pick the right ones from the official list for your trade. Changing them later is done through the confirmation statement, which is our £39 SIC change service.
Do you have an office in Y Fali?
No. IGI Accounting is an online-only firm. We serve Y Fali and every other UK postcode remotely, with records sent by WhatsApp or email and everything filed electronically. The absence of local premises is why the fee for company formation is the same in Y Fali as anywhere else in the country, and why there is nothing to visit and nothing to print.
Is company formation in Y Fali really the same price as elsewhere?
Yes. The fee published on this page is what a client in Y Fali pays and what a client in any other part of Wales pays. It is confirmed in writing before work starts and the invoice matches the quote. Where a higher package applies because your situation is more complex, we say so at the quote stage, never afterwards.
