Company formation in Woodhouse Eaves

Founders in Woodhouse Eaves often incorporate themselves in ten minutes and spend months fixing the result: wrong share classes, a home address on the public register, no Corporation Tax registration, a missed first confirmation statement. We set the company up to avoid all of that, for a fixed fee, and track the first-year deadlines for every company we form across East Midlands.

from £49 · fixed, one-off

Worth knowing

Rules that come up in this work

Switching accountants

Changing accountant is simpler than most people fear. You authorise the new firm, which writes to the old one for professional clearance and your records; the outgoing accountant must hand over your own documents and usually does within two weeks. The new firm registers as your agent with HMRC and picks up the next filing. There is no need to wait for a year end.

Closing a company

Voluntary strike-off is available only to solvent companies. One that owes money it cannot pay needs a creditors' voluntary liquidation through a licensed insolvency practitioner, and directors who dissolve an insolvent company face personal consequences. For a solvent company the process takes three to four months from filing the DS01, with notice to creditors and shareholders within seven days.

Crypto records and reporting

HMRC treats cryptoassets as property. Swapping one token for another, spending crypto or gifting it are all disposals for Capital Gains Tax, and staking and lending rewards are income. Gains are computed under pooling rules with same-day and 30-day matching. From 2026 HMRC receives data from exchanges worldwide under the Cryptoasset Reporting Framework, so unreported activity is increasingly visible.

The 60-day property CGT return

The 60-day Capital Gains Tax return on residential property is the deadline landlords most often miss, because it falls outside the Self Assessment cycle and runs from completion, not exchange. Private residence relief for periods you lived in the property, plus the final nine months, reduces the gain. Penalties for a late return mirror Self Assessment, starting at £100.

Record keeping

Record keeping is a legal obligation with a penalty of up to £3,000 for failure, but its real value is in making every other filing cheaper and more defensible. Keep invoices, receipts, bank statements, mileage logs and any HMRC correspondence, digitally if you like, for five years after the relevant filing deadline for individuals and six years for companies and VAT.

Allowable expenses

An expense is allowable against trading profit if it is incurred wholly and exclusively for the business. Materials, business travel other than ordinary commuting, a proportion of home running costs, software, insurance, professional fees, bank charges and protective clothing qualify. Client entertainment, ordinary clothing, fines and the private share of mixed-use costs do not.

Employer National Insurance

Employers pay National Insurance at 15% on each employee's earnings above the £5,000 secondary threshold, following the April 2025 changes. The Employment Allowance offsets up to £10,500 of this for eligible employers, which for a small team often removes the liability entirely, but companies where the director is the only employee do not qualify.

Questions

Company Formation questions from Woodhouse Eaves

What happens after the company is formed?

You receive the certificate of incorporation, memorandum and articles, share certificates and the company's authentication code. Then the deadlines start: first confirmation statement within 12 months and 14 days, first accounts within 21 months, Corporation Tax payment nine months after the first year end. We diarise all of them and remind you.

Can I form a company if I live outside the UK?

Yes. A UK company can have non-resident directors and shareholders, but it must have a UK registered office and directors must complete identity verification. Our non-resident formation service at £149 includes the registered office; HMRC registrations and a bank account introduction are handled in the £219 and £349 packages.

Does the company need to register for Corporation Tax?

Yes, within three months of starting to trade. HMRC usually issues the company's Unique Taxpayer Reference by post shortly after incorporation. Registration for Corporation Tax is included in our £99 package and above; the formation-only package leaves it to you, and we tell you how.

When should I register for VAT and PAYE?

VAT when taxable turnover will exceed £90,000 in a rolling 12 months, or voluntarily before if it helps. PAYE before the first salary payment, including to yourself as director. Both are included in the £99 package or available separately at £49 each.

What share structure should I have?

For a single founder, one ordinary share of £1 is usual. For two or more, the split should reflect the agreed ownership and may use different share classes to allow different dividend payments. We discuss this before filing, because changing it later needs resolutions and filings. We also advise on whether a shareholders' agreement is worth having.

What is a SIC code and which one do I need?

The Standard Industrial Classification code describes what the company does and appears on the public register. You can have up to four. We pick the right ones from the official list for your trade. Changing them later is done through the confirmation statement, which is our £39 SIC change service.

Do you have an office in Woodhouse Eaves?

No. IGI Accounting is an online-only firm. We serve Woodhouse Eaves and every other UK postcode remotely, with records sent by WhatsApp or email and everything filed electronically. The absence of local premises is why the fee for company formation is the same in Woodhouse Eaves as anywhere else in the country, and why there is nothing to visit and nothing to print.

Is company formation in Woodhouse Eaves really the same price as elsewhere?

Yes. The fee published on this page is what a client in Woodhouse Eaves pays and what a client in any other part of England pays. It is confirmed in writing before work starts and the invoice matches the quote. Where a higher package applies because your situation is more complex, we say so at the quote stage, never afterwards.
