Company formation in West Lockinge

Founders in West Lockinge often incorporate themselves in ten minutes and spend months fixing the result: wrong share classes, a home address on the public register, no Corporation Tax registration, a missed first confirmation statement. We set the company up to avoid all of that, for a fixed fee, and track the first-year deadlines for every company we form across South East.

Worth knowing

Rules that come up in this work

The 60-day property CGT return

Since April 2020 a gain on UK residential property must be reported and the tax paid within 60 days of completion through HMRC's dedicated service, separately from the annual return. Non-residents must report all UK land disposals in the same window whether or not tax is due. Getting the computation right first time matters because the figure is then carried into the Self Assessment.

Record keeping

Record keeping is a legal obligation with a penalty of up to £3,000 for failure, but its real value is in making every other filing cheaper and more defensible. Keep invoices, receipts, bank statements, mileage logs and any HMRC correspondence, digitally if you like, for five years after the relevant filing deadline for individuals and six years for companies and VAT.

Allowable expenses

Expense claims are where a return is won or lost in an enquiry. The test is wholly and exclusively for the trade; where a cost is mixed, the business proportion can be claimed if it can be identified. Capital items such as equipment and vans are relieved through capital allowances rather than as expenses, except under the cash basis where they are simply deducted when paid.

Confirmation statements and identity verification

Companies House has tightened its requirements under the Economic Crime and Corporate Transparency Act: every company needs a registered email address and an appropriate registered office, every statement includes a lawful-purpose declaration, and every director and PSC must verify their identity. The confirmation statement, due annually with a £50 fee, is where most of this is confirmed.

CIS deductions

The Construction Industry Scheme affects both sides of a construction payment. Contractors must verify subcontractors, deduct the right amount, issue statements and file monthly, with penalties from £100 for each late return. Subcontractors suffer deductions on turnover and recover the excess at the year end. Limited company subcontractors offset deductions against PAYE monthly instead.

Salary versus dividends

Paying yourself from a company involves two routes with different tax treatment. Salary through payroll is a company expense and builds a National Insurance record; dividends come from post-tax profit at lower personal rates. Undocumented drawings that are neither become director's loans, with a 35.75% section 455 charge if not repaid within nine months of the year end.

Director's loan accounts

Money taken from a company has to be something: salary, dividend, expense reimbursement or loan. If it is a loan and remains outstanding nine months after the year end, the company pays tax at the dividend higher rate on it until it is repaid. Clearing the balance with a properly declared dividend before the deadline, where reserves allow, is routine year-end work.

Questions

Company Formation questions from West Lockinge

What happens after the company is formed?

You receive the certificate of incorporation, memorandum and articles, share certificates and the company's authentication code. Then the deadlines start: first confirmation statement within 12 months and 14 days, first accounts within 21 months, Corporation Tax payment nine months after the first year end. We diarise all of them and remind you.

Can I form a company if I live outside the UK?

Yes. A UK company can have non-resident directors and shareholders, but it must have a UK registered office and directors must complete identity verification. Our non-resident formation service at £149 includes the registered office; HMRC registrations and a bank account introduction are handled in the £219 and £349 packages.

Do directors need to verify their identity?

Yes. Since 18 November 2025 every new director and person with significant control must verify their identity with Companies House before or at incorporation, through GOV.UK One Login or an authorised agent. We tell you exactly how to do it and check that the verification is linked before we file.

Can I use my home address?

You can, but it becomes public on the Companies House register as the registered office and as your service address. Most founders prefer not to. Our registered office service at £69 a year provides a London address for official post, and the £149 formation package includes the first year.

What does it cost in total?

Our formation-only fee is £49, plus the Companies House incorporation fee of £100 which we pass on at cost and show separately. So a basic formation is £149 all in. The £99 package adds Corporation Tax and PAYE registration, £149 adds a year's registered office, and the £199 startup pack includes registrations and bookkeeping setup.

How long does incorporation take?

Companies House usually approves online incorporations within 24 hours, often the same working day. We need your chosen name, the registered office address, details of each director and shareholder with their identity verification, the share structure and your SIC code. Most clients give us everything in one conversation.

Do you have an office in West Lockinge?

No. IGI Accounting is an online-only firm. We serve West Lockinge and every other UK postcode remotely, with records sent by WhatsApp or email and everything filed electronically. The absence of local premises is why the fee for company formation is the same in West Lockinge as anywhere else in the country, and why there is nothing to visit and nothing to print.

Is company formation in West Lockinge really the same price as elsewhere?

Yes. The fee published on this page is what a client in West Lockinge pays and what a client in any other part of England pays. It is confirmed in writing before work starts and the invoice matches the quote. Where a higher package applies because your situation is more complex, we say so at the quote stage, never afterwards.
