Why IGI

The IGI way of working, in Tote

No hourly rate and no surprise invoice. Tote clients know the fee for limited company accounts before they send a single document, and it stays fixed.

We work to the HMRC and Companies House calendar, not an appointment diary. Clients in Tote get reminders at 60, 30 and 7 days before each date that applies to limited company accounts.

Online only, UK based. There is no office in Tote to pay for, which is why the fee is the same here as anywhere in Scotland; the work is done by people in the UK who answer the same day.

Continuity matters in limited company accounts: the person who prepared last year's work for your Tote business prepares this year's, and remembers what was agreed.

We explain limited company accounts in the words Tote business owners use, not in accountant's shorthand, and we show our working so you can check it.

Nothing is filed for Tote until you have reviewed and approved it. You see the draft, you ask questions, you sign off, then we submit and send you the receipt.

Worth knowing

Rules that come up in this work

The 60-day property CGT return

Selling UK residential property that was not your main home for the whole period of ownership triggers a separate Capital Gains Tax return, due within 60 days of completion along with payment of the tax. This is in addition to the annual Self Assessment. The gain is taxed at 18% or 24% depending on your income band, after the £3,000 annual exempt amount.

Dormant companies

A dormant company is one with no significant accounting transactions in the year, where the only permitted entries are the payment for shares on incorporation, Companies House fees and penalties. It still files a confirmation statement and simplified dormant accounts every year. A bank charge or an accountant's fee paid from the company ends dormancy and requires full accounts.

The trading and property allowances

Small side incomes are covered by two £1,000 allowances, one for trading and one for property, which remove the need to register or report income below that level. Once income exceeds £1,000, the allowance can be used in place of expenses, a choice worth making deliberately: a freelancer with £900 of costs is better off with the allowance, one with £3,000 is not.

Employer National Insurance

Employers pay National Insurance at 15% on each employee's earnings above the £5,000 secondary threshold, following the April 2025 changes. The Employment Allowance offsets up to £10,500 of this for eligible employers, which for a small team often removes the liability entirely, but companies where the director is the only employee do not qualify.

Workplace pensions and auto-enrolment

Every employer must assess its workers for automatic enrolment from the first employee's start date. Those aged 22 to State Pension age earning over £10,000 a year must be enrolled into a qualifying pension with minimum contributions of 8% of qualifying earnings, at least 3% from the employer, and a declaration of compliance made to the Pensions Regulator within five months.

Confirmation statements and identity verification

Companies House has tightened its requirements under the Economic Crime and Corporate Transparency Act: every company needs a registered email address and an appropriate registered office, every statement includes a lawful-purpose declaration, and every director and PSC must verify their identity. The confirmation statement, due annually with a £50 fee, is where most of this is confirmed.

CIS deductions

The Construction Industry Scheme affects both sides of a construction payment. Contractors must verify subcontractors, deduct the right amount, issue statements and file monthly, with penalties from £100 for each late return. Subcontractors suffer deductions on turnover and recover the excess at the year end. Limited company subcontractors offset deductions against PAYE monthly instead.

Questions

Limited Company Accounts questions from Tote

My company is dormant. Do I still need accounts?

Yes. A dormant company still files annual accounts with Companies House, in the simplified AA02 format, and a confirmation statement. Our dormant accounts fee is £49. HMRC usually does not require a CT600 once told the company is dormant, and we handle that notification.

Do you file with iXBRL?

Yes. Both Companies House and HMRC require accounts and computations in iXBRL format, which tags every figure electronically. We produce and validate the tagged files as part of the service; you never see or pay for this separately.

What is the difference between micro-entity and small company accounts?

A micro-entity has turnover under £1 million, a balance sheet under £500,000 and up to 10 employees (thresholds from April 2025) and may file abbreviated accounts with very few notes, at our £299 fee. Companies above those limits but still "small" file fuller accounts with more disclosures, at £449. We confirm which you are from your figures.

What do you need from me to prepare the accounts?

Bank statements for the full year, sales and purchase records or your bookkeeping software login, details of any assets bought or sold, loans, and the previous year's accounts and CT600 if we did not prepare them. If your books are not kept, the "from bank statements" approach works but may move you to the small company fee.

When are company accounts due?

Nine months after your accounting reference date for Companies House, and the Corporation Tax payment is due nine months and one day after the year end. The CT600 itself is due twelve months after the year end. A first set of accounts is due 21 months after incorporation. We track all of these and remind you.

What happens if accounts are filed late?

Companies House penalties are automatic and double if you were late the previous year too: £150 up to one month late, £375 up to three months, £750 up to six months and £1,500 beyond that for a private company. HMRC adds £100 for a late CT600, rising with time. Our fee includes filing rescue at no extra charge if we have your records in time.

Which deadlines matter most for limited company accounts?

The next four dates that apply to limited company accounts are shown at the top of this page, calculated from today. For Tote clients we diarise every one of them from the day you join and send reminders before each, so the work is done in good time rather than in the last week before a penalty.
