Why IGI

What you get in Torwood

No hourly rate and no surprise invoice. Torwood clients know the fee for limited company accounts before they send a single document, and it stays fixed.

We work to the HMRC and Companies House calendar, not an appointment diary. Clients in Torwood get reminders at 60, 30 and 7 days before each date that applies to limited company accounts.

Online only, UK based. There is no office in Torwood to pay for, which is why the fee is the same here as anywhere in England; the work is done by people in the UK who answer the same day.

Continuity matters in limited company accounts: the person who prepared last year's work for your Torwood business prepares this year's, and remembers what was agreed.

Plain English, with the numbers. Every draft for Torwood comes with a short explanation of what the figures mean and what, if anything, you should do about them.

You stay in control of limited company accounts: drafts go to Torwood clients first, with the figures explained, and nothing leaves us until you say so.

Worth knowing

Rules that come up in this work

Confirmation statements and identity verification

The confirmation statement is the annual check that the public register is right: officers, registered office, SIC codes, shareholders and the PSC register. It carries a £50 fee and no financial penalty for lateness, but failure to file leads to compulsory strike-off. The identity verification regime introduced in November 2025 has added a further check to every statement.

CIS deductions

The Construction Industry Scheme affects both sides of a construction payment. Contractors must verify subcontractors, deduct the right amount, issue statements and file monthly, with penalties from £100 for each late return. Subcontractors suffer deductions on turnover and recover the excess at the year end. Limited company subcontractors offset deductions against PAYE monthly instead.

Dormant companies

Companies formed to protect a name or hold a future business are dormant but not exempt: Companies House still expects dormant accounts within nine months of the year end and a confirmation statement annually with its £50 fee, and HMRC must be told the company is dormant or it will demand Corporation Tax returns. The filings are short, but the penalties for missing them are the same as for a trading company.

The VAT registration threshold

Watching the rolling twelve-month turnover figure is one of the quiet jobs of monthly bookkeeping, because the £90,000 VAT threshold arrives silently. Crossing it brings quarterly returns, Making Tax Digital software and a decision about schemes. Crossing it late brings a bill for VAT you could not recover from customers and a penalty for failing to notify.

The trading and property allowances

Not every small income needs a tax return. The trading allowance exempts the first £1,000 of self-employment or casual income and the property allowance does the same for rental income, each measured on gross receipts. They cannot be combined with rent-a-room relief on the same income, and claiming the allowance means giving up the expense deduction for that source.

Corporation Tax rates and marginal relief

Companies pay Corporation Tax at 19% on profits up to £50,000 and 25% on profits over £250,000. Between those figures marginal relief applies, producing an effective rate that rises gradually and a marginal rate of 26.5% on each pound in the band. The thresholds are divided by the number of associated companies, so a director with two companies has thresholds of £25,000 and £125,000 for each.

Employer National Insurance

Since April 2025 employer National Insurance has been 15% on earnings above a £5,000 secondary threshold, a substantial increase for small employers. The Employment Allowance rose to £10,500 at the same time to soften it for the smallest businesses. Directors deciding their own salary weigh this cost against the Corporation Tax deduction a salary provides.

Questions

Limited Company Accounts questions from Torwood

My company is dormant. Do I still need accounts?

Yes. A dormant company still files annual accounts with Companies House, in the simplified AA02 format, and a confirmation statement. Our dormant accounts fee is £49. HMRC usually does not require a CT600 once told the company is dormant, and we handle that notification.

Do you file with iXBRL?

Yes. Both Companies House and HMRC require accounts and computations in iXBRL format, which tags every figure electronically. We produce and validate the tagged files as part of the service; you never see or pay for this separately.

Does the fee include Corporation Tax?

Yes. Both the £299 micro-entity and £449 small company packages include the Corporation Tax computation, the CT600 and electronic filing with HMRC. The standalone CT600 at £199 is for companies whose accounts are prepared elsewhere.

Can you include my personal tax return?

The £389 bundle covers micro-entity accounts, the CT600 and the director's Self Assessment return together. It is cheaper than buying them separately and ensures the dividends and salary on the personal return match the company's records exactly.

How do dividends work and how much can I take?

Dividends can only be paid from accumulated profits after Corporation Tax. We calculate the distributable reserves in your accounts and tell you the figure. Dividends need a board minute and a voucher each time; we provide templates. The personal tax on dividends depends on your other income, and the planning review covers that.

What is a director's loan account and why does it matter?

It records money moving between you and the company that is not salary or dividend. If you owe the company money at the year end and have not repaid it within nine months, the company pays 35.75% section 455 tax on the balance, refundable later. We review the account before finalising and tell you the options.

Which deadlines matter most for limited company accounts?

The next four dates that apply to limited company accounts are shown at the top of this page, calculated from today. For Torwood clients we diarise every one of them from the day you join and send reminders before each, so the work is done in good time rather than in the last week before a penalty.
