Why IGI
Why Siadar businesses file with IGI
No hourly rate and no surprise invoice. Siadar clients know the fee for company formation before they send a single document, and it stays fixed.
We work to the HMRC and Companies House calendar, not an appointment diary. Clients in Siadar get reminders at 60, 30 and 7 days before each date that applies to company formation.
Online only, UK based. There is no office in Siadar to pay for, which is why the fee is the same here as anywhere in Scotland; the work is done by people in the UK who answer the same day.
Continuity matters in company formation: the person who prepared last year's work for your Siadar business prepares this year's, and remembers what was agreed.
Plain English, with the numbers. Every draft for Siadar comes with a short explanation of what the figures mean and what, if anything, you should do about them.
You stay in control of company formation: drafts go to Siadar clients first, with the figures explained, and nothing leaves us until you say so.

Rules that come up in this work
Switching accountants
You can switch accountant at any point in the year. The new firm requests clearance and your records from the old one, which cannot withhold your own documents though it may hold its own working papers until its fees are settled. Agent authorisations with HMRC and Companies House are transferred, and the next deadline is picked up without a gap.
Closing a company
Voluntary strike-off is available only to solvent companies. One that owes money it cannot pay needs a creditors' voluntary liquidation through a licensed insolvency practitioner, and directors who dissolve an insolvent company face personal consequences. For a solvent company the process takes three to four months from filing the DS01, with notice to creditors and shareholders within seven days.
Dormant companies
Companies formed to protect a name or hold a future business are dormant but not exempt: Companies House still expects dormant accounts within nine months of the year end and a confirmation statement annually with its £50 fee, and HMRC must be told the company is dormant or it will demand Corporation Tax returns. The filings are short, but the penalties for missing them are the same as for a trading company.
The trading and property allowances
Not every small income needs a tax return. The trading allowance exempts the first £1,000 of self-employment or casual income and the property allowance does the same for rental income, each measured on gross receipts. They cannot be combined with rent-a-room relief on the same income, and claiming the allowance means giving up the expense deduction for that source.
Employer National Insurance
Since April 2025 employer National Insurance has been 15% on earnings above a £5,000 secondary threshold, a substantial increase for small employers. The Employment Allowance rose to £10,500 at the same time to soften it for the smallest businesses. Directors deciding their own salary weigh this cost against the Corporation Tax deduction a salary provides.
Workplace pensions and auto-enrolment
Workplace pension compliance is part of payroll, not separate from it. Each pay period the payroll assesses who is eligible, calculates employer and employee contributions on qualifying earnings between the lower and upper thresholds, and sends the contribution file to the scheme. The minimum total is 8%, and many employers choose to contribute more as a recruitment advantage.
Record keeping
HMRC requires records of all income and expenses, bank statements, invoices and receipts to be kept for at least five years after the 31 January filing deadline of the tax year they relate to, and companies must keep records for six years from the end of the accounting period. Digital copies are acceptable. Under Making Tax Digital the records must be kept in compatible software.
Questions
Company Formation questions from Siadar
What share structure should I have?
For a single founder, one ordinary share of £1 is usual. For two or more, the split should reflect the agreed ownership and may use different share classes to allow different dividend payments. We discuss this before filing, because changing it later needs resolutions and filings. We also advise on whether a shareholders' agreement is worth having.
What is a SIC code and which one do I need?
The Standard Industrial Classification code describes what the company does and appears on the public register. You can have up to four. We pick the right ones from the official list for your trade. Changing them later is done through the confirmation statement, which is our £39 SIC change service.
Does the company need to register for Corporation Tax?
Yes, within three months of starting to trade. HMRC usually issues the company's Unique Taxpayer Reference by post shortly after incorporation. Registration for Corporation Tax is included in our £99 package and above; the formation-only package leaves it to you, and we tell you how.
When should I register for VAT and PAYE?
VAT when taxable turnover will exceed £90,000 in a rolling 12 months, or voluntarily before if it helps. PAYE before the first salary payment, including to yourself as director. Both are included in the £99 package or available separately at £49 each.
What does it cost in total?
Our formation-only fee is £49, plus the Companies House incorporation fee of £100 which we pass on at cost and show separately. So a basic formation is £149 all in. The £99 package adds Corporation Tax and PAYE registration, £149 adds a year's registered office, and the £199 startup pack includes registrations and bookkeeping setup.
How long does incorporation take?
Companies House usually approves online incorporations within 24 hours, often the same working day. We need your chosen name, the registered office address, details of each director and shareholder with their identity verification, the share structure and your SIC code. Most clients give us everything in one conversation.
Which deadlines matter most for company formation?
The next four dates that apply to company formation are shown at the top of this page, calculated from today. For Siadar clients we diarise every one of them from the day you join and send reminders before each, so the work is done in good time rather than in the last week before a penalty.
