Why IGI

The IGI way of working, in Setley

No hourly rate and no surprise invoice. Setley clients know the fee for limited company accounts before they send a single document, and it stays fixed.

We work to the HMRC and Companies House calendar, not an appointment diary. Clients in Setley get reminders at 60, 30 and 7 days before each date that applies to limited company accounts.

Online only, UK based. There is no office in Setley to pay for, which is why the fee is the same here as anywhere in England; the work is done by people in the UK who answer the same day.

Continuity matters in limited company accounts: the person who prepared last year's work for your Setley business prepares this year's, and remembers what was agreed.

Plain English, with the numbers. Every draft for Setley comes with a short explanation of what the figures mean and what, if anything, you should do about them.

You stay in control of limited company accounts: drafts go to Setley clients first, with the figures explained, and nothing leaves us until you say so.

Worth knowing

Rules that come up in this work

Switching accountants

The main reasons people switch accountant are surprise invoices, missed deadlines and not understanding what they are being told. Switching involves a clearance letter between the firms, a transfer of records and agent authorisations, and a short handover of the current position. It takes about two weeks and should cost nothing extra.

Closing a company

Voluntary strike-off is available only to solvent companies. One that owes money it cannot pay needs a creditors' voluntary liquidation through a licensed insolvency practitioner, and directors who dissolve an insolvent company face personal consequences. For a solvent company the process takes three to four months from filing the DS01, with notice to creditors and shareholders within seven days.

Dormant companies

A dormant company is one with no significant accounting transactions in the year, where the only permitted entries are the payment for shares on incorporation, Companies House fees and penalties. It still files a confirmation statement and simplified dormant accounts every year. A bank charge or an accountant's fee paid from the company ends dormancy and requires full accounts.

The trading and property allowances

Not every small income needs a tax return. The trading allowance exempts the first £1,000 of self-employment or casual income and the property allowance does the same for rental income, each measured on gross receipts. They cannot be combined with rent-a-room relief on the same income, and claiming the allowance means giving up the expense deduction for that source.

Employer National Insurance

The cost of an employee is more than the salary. Employer National Insurance at 15% above £5,000 a year, the 3% minimum pension contribution, holiday pay, equipment and management time all come on top. The Employment Allowance of £10,500 reduces the National Insurance for most employers with more than one person on the payroll.

Workplace pensions and auto-enrolment

Auto-enrolment duties begin the day you take on your first employee, not when the Pensions Regulator writes to you. Eligible staff must be enrolled, contributions paid every pay period and re-enrolment carried out every three years. Director-only companies without employment contracts are usually exempt. Fines for non-compliance are fixed and escalating.

Record keeping

HMRC requires records of all income and expenses, bank statements, invoices and receipts to be kept for at least five years after the 31 January filing deadline of the tax year they relate to, and companies must keep records for six years from the end of the accounting period. Digital copies are acceptable. Under Making Tax Digital the records must be kept in compatible software.

Questions

Limited Company Accounts questions from Setley

Can you include my personal tax return?

The £389 bundle covers micro-entity accounts, the CT600 and the director's Self Assessment return together. It is cheaper than buying them separately and ensures the dividends and salary on the personal return match the company's records exactly.

How do dividends work and how much can I take?

Dividends can only be paid from accumulated profits after Corporation Tax. We calculate the distributable reserves in your accounts and tell you the figure. Dividends need a board minute and a voucher each time; we provide templates. The personal tax on dividends depends on your other income, and the planning review covers that.

What is a director's loan account and why does it matter?

It records money moving between you and the company that is not salary or dividend. If you owe the company money at the year end and have not repaid it within nine months, the company pays 35.75% section 455 tax on the balance, refundable later. We review the account before finalising and tell you the options.

What is the difference between micro-entity and small company accounts?

A micro-entity has turnover under £1 million, a balance sheet under £500,000 and up to 10 employees (thresholds from April 2025) and may file abbreviated accounts with very few notes, at our £299 fee. Companies above those limits but still "small" file fuller accounts with more disclosures, at £449. We confirm which you are from your figures.

What do you need from me to prepare the accounts?

Bank statements for the full year, sales and purchase records or your bookkeeping software login, details of any assets bought or sold, loans, and the previous year's accounts and CT600 if we did not prepare them. If your books are not kept, the "from bank statements" approach works but may move you to the small company fee.

When are company accounts due?

Nine months after your accounting reference date for Companies House, and the Corporation Tax payment is due nine months and one day after the year end. The CT600 itself is due twelve months after the year end. A first set of accounts is due 21 months after incorporation. We track all of these and remind you.

Which deadlines matter most for limited company accounts?

The next four dates that apply to limited company accounts are shown at the top of this page, calculated from today. For Setley clients we diarise every one of them from the day you join and send reminders before each, so the work is done in good time rather than in the last week before a penalty.
