Why IGI
The IGI way of working, in Salperton
No hourly rate and no surprise invoice. Salperton clients know the fee for company formation before they send a single document, and it stays fixed.
We work to the HMRC and Companies House calendar, not an appointment diary. Clients in Salperton get reminders at 60, 30 and 7 days before each date that applies to company formation.
Online only, UK based. There is no office in Salperton to pay for, which is why the fee is the same here as anywhere in England; the work is done by people in the UK who answer the same day.
Continuity matters in company formation: the person who prepared last year's work for your Salperton business prepares this year's, and remembers what was agreed.
Plain English, with the numbers. Every draft for Salperton comes with a short explanation of what the figures mean and what, if anything, you should do about them.
You stay in control of company formation: drafts go to Salperton clients first, with the figures explained, and nothing leaves us until you say so.

Worth knowing
Rules that come up in this work
Dormant companies
Companies formed to protect a name or hold a future business are dormant but not exempt: Companies House still expects dormant accounts within nine months of the year end and a confirmation statement annually with its £50 fee, and HMRC must be told the company is dormant or it will demand Corporation Tax returns. The filings are short, but the penalties for missing them are the same as for a trading company.
The trading and property allowances
Small side incomes are covered by two £1,000 allowances, one for trading and one for property, which remove the need to register or report income below that level. Once income exceeds £1,000, the allowance can be used in place of expenses, a choice worth making deliberately: a freelancer with £900 of costs is better off with the allowance, one with £3,000 is not.
Employer National Insurance
The cost of an employee is more than the salary. Employer National Insurance at 15% above £5,000 a year, the 3% minimum pension contribution, holiday pay, equipment and management time all come on top. The Employment Allowance of £10,500 reduces the National Insurance for most employers with more than one person on the payroll.
Workplace pensions and auto-enrolment
Every employer must assess its workers for automatic enrolment from the first employee's start date. Those aged 22 to State Pension age earning over £10,000 a year must be enrolled into a qualifying pension with minimum contributions of 8% of qualifying earnings, at least 3% from the employer, and a declaration of compliance made to the Pensions Regulator within five months.
Record keeping
Good records are the difference between a quick enquiry and a long one. For the self-employed, five years after the filing deadline; for companies, six years from the year end; for VAT, six years. Photographs of receipts, PDF statements and software exports all count. The requirement is to keep records, not paper, and a well-organised cloud folder satisfies it.
Allowable expenses
An expense is allowable against trading profit if it is incurred wholly and exclusively for the business. Materials, business travel other than ordinary commuting, a proportion of home running costs, software, insurance, professional fees, bank charges and protective clothing qualify. Client entertainment, ordinary clothing, fines and the private share of mixed-use costs do not.
Crypto records and reporting
Most crypto holders have taxable events they do not recognise, because every swap is a disposal even when no pounds change hands. The computation requires the complete transaction history from every exchange and wallet, pooled by asset with HMRC's matching rules applied. Exchange-generated tax reports are frequently wrong because they cannot see transfers between a user's own wallets.
Questions
Company Formation questions from Salperton
Can you form a company limited by guarantee or a dormant company?
Yes. Companies limited by guarantee, used by clubs, charities and community groups, are £49 with bespoke objects at £99. Dormant company formation, for protecting a name or holding a future business, is £29. Both carry the £100 Companies House fee and both have their own service pages.
What is the difference between a limited company and a sole trader?
A company is a separate legal person: it owns the business, owes the debts and pays Corporation Tax, and you take income as salary and dividends. A sole trader is personally liable and pays income tax on all profits. Companies cost more to run but can save tax at higher profits and protect personal assets. Our free comparison tool shows the numbers.
What happens after the company is formed?
You receive the certificate of incorporation, memorandum and articles, share certificates and the company's authentication code. Then the deadlines start: first confirmation statement within 12 months and 14 days, first accounts within 21 months, Corporation Tax payment nine months after the first year end. We diarise all of them and remind you.
Can I form a company if I live outside the UK?
Yes. A UK company can have non-resident directors and shareholders, but it must have a UK registered office and directors must complete identity verification. Our non-resident formation service at £149 includes the registered office; HMRC registrations and a bank account introduction are handled in the £219 and £349 packages.
What share structure should I have?
For a single founder, one ordinary share of £1 is usual. For two or more, the split should reflect the agreed ownership and may use different share classes to allow different dividend payments. We discuss this before filing, because changing it later needs resolutions and filings. We also advise on whether a shareholders' agreement is worth having.
What is a SIC code and which one do I need?
The Standard Industrial Classification code describes what the company does and appears on the public register. You can have up to four. We pick the right ones from the official list for your trade. Changing them later is done through the confirmation statement, which is our £39 SIC change service.
Which deadlines matter most for company formation?
The next four dates that apply to company formation are shown at the top of this page, calculated from today. For Salperton clients we diarise every one of them from the day you join and send reminders before each, so the work is done in good time rather than in the last week before a penalty.
