Why IGI

Why Ryarsh businesses file with IGI

One fixed fee for company formation in Ryarsh, agreed in writing before any work starts and never changed part-way through the job, however long it takes us.

We work to the HMRC and Companies House calendar, not an appointment diary. Clients in Ryarsh get reminders at 60, 30 and 7 days before each date that applies to company formation.

We serve Ryarsh remotely by design: records by WhatsApp or email, drafts back for approval, filing electronic. The saving on premises is passed to you in the fee for company formation.

Continuity matters in company formation: the person who prepared last year's work for your Ryarsh business prepares this year's, and remembers what was agreed.

We explain company formation in the words Ryarsh business owners use, not in accountant's shorthand, and we show our working so you can check it.

You stay in control of company formation: drafts go to Ryarsh clients first, with the figures explained, and nothing leaves us until you say so.

Business rates are set locally by the council.

Worth knowing

Rules that come up in this work

CIS deductions

Under the Construction Industry Scheme, contractors deduct 20% from a registered subcontractor's labour invoices, or 30% if unregistered, and pay it to HMRC. The subcontractor reclaims the deductions against their actual tax through Self Assessment, usually producing a refund because deductions are on turnover while tax is on profit. Contractors file a monthly return by the 19th.

Confirmation statements and identity verification

Every company must file a confirmation statement at least once a year, within fourteen days of its review date, with a £50 Companies House fee. Since November 2025 directors and people with significant control must also verify their identity with Companies House, and the confirmation statement is where existing officers confirm they have done so during the transition year.

Corporation Tax rates and marginal relief

Corporation Tax is not a flat rate. Profits to £50,000 pay 19%, profits above £250,000 pay 25%, and the band between is taxed at an effective marginal rate of 26.5% through the marginal relief mechanism. Associated companies share the thresholds, which catches directors who own more than one company and is the most common cause of underpaid tax in owner-managed groups.

The VAT registration threshold

VAT registration is compulsory once taxable turnover in any rolling twelve-month period exceeds £90,000, or when you expect to exceed that in the next thirty days alone. The test is rolling, not by tax year, and includes zero-rated sales. Businesses regularly cross it without noticing, and late registration means accounting for VAT on sales where it was never charged to customers.

Director's loan accounts

The most common tax problem in owner-managed companies is an overdrawn director's loan account: drawings taken during the year that were never declared as dividends or salary. The company faces a 35.75% charge on the balance outstanding nine months after the year end, and the director may have a benefit in kind. We review the account before every year end to clear it properly.

Salary versus dividends

Paying yourself from a company involves two routes with different tax treatment. Salary through payroll is a company expense and builds a National Insurance record; dividends come from post-tax profit at lower personal rates. Undocumented drawings that are neither become director's loans, with a 35.75% section 455 charge if not repaid within nine months of the year end.

Payments on account

A common surprise in Self Assessment is the January payment that is far larger than expected. That is the balancing payment for the year just ended plus the first payment on account for the year ahead, which HMRC sets at half of the bill just calculated. We put the figure in your hands months ahead and tell you how to adjust it legitimately when circumstances change.

Questions

Company Formation questions from Ryarsh

What is the difference between a limited company and a sole trader?

A company is a separate legal person: it owns the business, owes the debts and pays Corporation Tax, and you take income as salary and dividends. A sole trader is personally liable and pays income tax on all profits. Companies cost more to run but can save tax at higher profits and protect personal assets. Our free comparison tool shows the numbers.

Can you form a company limited by guarantee or a dormant company?

Yes. Companies limited by guarantee, used by clubs, charities and community groups, are £49 with bespoke objects at £99. Dormant company formation, for protecting a name or holding a future business, is £29. Both carry the £100 Companies House fee and both have their own service pages.

Can I use my home address?

You can, but it becomes public on the Companies House register as the registered office and as your service address. Most founders prefer not to. Our registered office service at £69 a year provides a London address for official post, and the £149 formation package includes the first year.

Do directors need to verify their identity?

Yes. Since 18 November 2025 every new director and person with significant control must verify their identity with Companies House before or at incorporation, through GOV.UK One Login or an authorised agent. We tell you exactly how to do it and check that the verification is linked before we file.

How long does incorporation take?

Companies House usually approves online incorporations within 24 hours, often the same working day. We need your chosen name, the registered office address, details of each director and shareholder with their identity verification, the share structure and your SIC code. Most clients give us everything in one conversation.

What does it cost in total?

Our formation-only fee is £49, plus the Companies House incorporation fee of £100 which we pass on at cost and show separately. So a basic formation is £149 all in. The £99 package adds Corporation Tax and PAYE registration, £149 adds a year's registered office, and the £199 startup pack includes registrations and bookkeeping setup.

How do I get started from Ryarsh?

Message us on WhatsApp or email with a sentence about your business and what you need. We reply in working hours with any questions and a fixed fee for company formation. Once you confirm, we tell you exactly which records to send and the work begins. Most Ryarsh clients are set up within a day.

Which deadlines matter most for company formation?

The next four dates that apply to company formation are shown at the top of this page, calculated from today. For Ryarsh clients we diarise every one of them from the day you join and send reminders before each, so the work is done in good time rather than in the last week before a penalty.
