How it works

Company Formation from Romanby, step by step

  1. Tell us your situation

A short message or call about what you do and what needs filing. We ask the questions that determine the right package and nothing more.

  2. Fixed fee in writing

You receive one price for the work, confirmed by email before anything starts. It does not change if the job takes longer than we expected.

  3. Send records, review the draft

Records come by WhatsApp or email. We prepare the draft, explain the figures in plain English and answer your questions.

  4. We file, you get the receipts

Once you approve and the fee is settled, we submit electronically and forward the HMRC or Companies House acknowledgement the same day.

Why IGI

What you get in Romanby

No hourly rate and no surprise invoice. Romanby clients know the fee for company formation before they send a single document, and it stays fixed.

We work to the HMRC and Companies House calendar, not an appointment diary. Clients in Romanby get reminders at 60, 30 and 7 days before each date that applies to company formation.

Online only, UK based. There is no office in Romanby to pay for, which is why the fee is the same here as anywhere in England; the work is done by people in the UK who answer the same day.

Continuity matters in company formation: the person who prepared last year's work for your Romanby business prepares this year's, and remembers what was agreed.

We explain company formation in the words Romanby business owners use, not in accountant's shorthand, and we show our working so you can check it.

Nothing is filed for Romanby until you have reviewed and approved it. You see the draft, you ask questions, you sign off, then we submit and send you the receipt.

Worth knowing

Rules that come up in this work

Record keeping

HMRC requires records of all income and expenses, bank statements, invoices and receipts to be kept for at least five years after the 31 January filing deadline of the tax year they relate to, and companies must keep records for six years from the end of the accounting period. Digital copies are acceptable. Under Making Tax Digital the records must be kept in compatible software.

Allowable expenses

The expenses sole traders most often miss are home working costs, claimed by actual proportion or HMRC's flat rate, the business share of phone and internet, mileage at 45p for the first 10,000 business miles, and training that maintains existing skills. The ones most often claimed wrongly are commuting, entertaining customers and clothes that could be worn outside work.

Crypto records and reporting

HMRC treats cryptoassets as property. Swapping one token for another, spending crypto or gifting it are all disposals for Capital Gains Tax, and staking and lending rewards are income. Gains are computed under pooling rules with same-day and 30-day matching. From 2026 HMRC receives data from exchanges worldwide under the Cryptoasset Reporting Framework, so unreported activity is increasingly visible.

The 60-day property CGT return

The 60-day Capital Gains Tax return on residential property is the deadline landlords most often miss, because it falls outside the Self Assessment cycle and runs from completion, not exchange. Private residence relief for periods you lived in the property, plus the final nine months, reduces the gain. Penalties for a late return mirror Self Assessment, starting at £100.

Dormant companies

Dormancy is a status that is easy to lose. The strict rule is no accounting transactions other than share capital and Companies House fees, which means no bank account activity at all in practice. Fees should be paid personally by the director. A company that traded and has stopped becomes dormant only after its final trading accounts and tax return are filed and HMRC is told.

The trading and property allowances

Not every small income needs a tax return. The trading allowance exempts the first £1,000 of self-employment or casual income and the property allowance does the same for rental income, each measured on gross receipts. They cannot be combined with rent-a-room relief on the same income, and claiming the allowance means giving up the expense deduction for that source.

Employer National Insurance

Since April 2025 employer National Insurance has been 15% on earnings above a £5,000 secondary threshold, a substantial increase for small employers. The Employment Allowance rose to £10,500 at the same time to soften it for the smallest businesses. Directors deciding their own salary weigh this cost against the Corporation Tax deduction a salary provides.

Questions

Company Formation questions from Romanby

Can you form a company limited by guarantee or a dormant company?

Yes. Companies limited by guarantee, used by clubs, charities and community groups, are £49 with bespoke objects at £99. Dormant company formation, for protecting a name or holding a future business, is £29. Both carry the £100 Companies House fee and both have their own service pages.

What is the difference between a limited company and a sole trader?

A company is a separate legal person: it owns the business, owes the debts and pays Corporation Tax, and you take income as salary and dividends. A sole trader is personally liable and pays income tax on all profits. Companies cost more to run but can save tax at higher profits and protect personal assets. Our free comparison tool shows the numbers.

What does it cost in total?

Our formation-only fee is £49, plus the Companies House incorporation fee of £100 which we pass on at cost and show separately. So a basic formation is £149 all in. The £99 package adds Corporation Tax and PAYE registration, £149 adds a year's registered office, and the £199 startup pack includes registrations and bookkeeping setup.

How long does incorporation take?

Companies House usually approves online incorporations within 24 hours, often the same working day. We need your chosen name, the registered office address, details of each director and shareholder with their identity verification, the share structure and your SIC code. Most clients give us everything in one conversation.

Do directors need to verify their identity?

Yes. Since 18 November 2025 every new director and person with significant control must verify their identity with Companies House before or at incorporation, through GOV.UK One Login or an authorised agent. We tell you exactly how to do it and check that the verification is linked before we file.

Can I use my home address?

You can, but it becomes public on the Companies House register as the registered office and as your service address. Most founders prefer not to. Our registered office service at £69 a year provides a London address for official post, and the £149 formation package includes the first year.

Is company formation in Romanby really the same price as elsewhere?

Yes. The fee published on this page is what a client in Romanby pays and what a client in any other part of England pays. It is confirmed in writing before work starts and the invoice matches the quote. Where a higher package applies because your situation is more complex, we say so at the quote stage, never afterwards.

Which deadlines matter most for company formation?

The next four dates that apply to company formation are shown at the top of this page, calculated from today. For Romanby clients we diarise every one of them from the day you join and send reminders before each, so the work is done in good time rather than in the last week before a penalty.
