How it works

Company Formation from Quabbs, step by step

  1. Tell us your situation

A short message or call about what you do and what needs filing. We ask the questions that determine the right package and nothing more.

  2. Fixed fee in writing

You receive one price for the work, confirmed by email before anything starts. It does not change if the job takes longer than we expected.

  3. Send records, review the draft

Records come by WhatsApp or email. We prepare the draft, explain the figures in plain English and answer your questions.

  4. We file, you get the receipts

Once you approve and the fee is settled, we submit electronically and forward the HMRC or Companies House acknowledgement the same day.

Why IGI

The IGI way of working, in Quabbs

No hourly rate and no surprise invoice. Quabbs clients know the fee for company formation before they send a single document, and it stays fixed.

We work to the HMRC and Companies House calendar, not an appointment diary. Clients in Quabbs get reminders at 60, 30 and 7 days before each date that applies to company formation.

Online only, UK based. There is no office in Quabbs to pay for, which is why the fee is the same here as anywhere in England; the work is done by people in the UK who answer the same day.

Continuity matters in company formation: the person who prepared last year's work for your Quabbs business prepares this year's, and remembers what was agreed.

We explain company formation in the words Quabbs business owners use, not in accountant's shorthand, and we show our working so you can check it.

Nothing is filed for Quabbs until you have reviewed and approved it. You see the draft, you ask questions, you sign off, then we submit and send you the receipt.

Worth knowing

Rules that come up in this work

Confirmation statements and identity verification

Companies House has tightened its requirements under the Economic Crime and Corporate Transparency Act: every company needs a registered email address and an appropriate registered office, every statement includes a lawful-purpose declaration, and every director and PSC must verify their identity. The confirmation statement, due annually with a £50 fee, is where most of this is confirmed.

CIS deductions

CIS turns construction subcontractors into advance taxpayers: a fifth of every labour payment goes to HMRC before they see it. Registering keeps the rate at 20% rather than 30%; gross payment status, for established businesses with a clean record, removes deductions altogether. The annual return is where the overpayment comes back, and filing it early brings the refund sooner.

The Self Assessment calendar

Four dates govern Self Assessment: 5 October to register, 31 October for paper returns, 31 January to file online and pay, and 31 July for the second payment on account. Missing the January date triggers an automatic £100 penalty before any tax is even considered, so we treat it as the fixed point around which the rest of the year is planned.

Payments on account

A common surprise in Self Assessment is the January payment that is far larger than expected. That is the balancing payment for the year just ended plus the first payment on account for the year ahead, which HMRC sets at half of the bill just calculated. We put the figure in your hands months ahead and tell you how to adjust it legitimately when circumstances change.

Late filing penalties

HMRC's penalties for a late Self Assessment return are automatic: £100 the day after 31 January, £10 a day from three months late up to £900, then the greater of £300 or 5% of the tax at six and twelve months. Interest and separate late-payment penalties apply to the tax itself. Companies House charges £150 to £1,500 for late accounts, doubling for a second consecutive year.

Making Tax Digital for Income Tax

Making Tax Digital for Income Tax began in April 2026 for sole traders and landlords with qualifying income over £50,000, extends to those over £30,000 in April 2027 and is planned for £20,000 in April 2028. It requires digital records in compatible software and four quarterly updates to HMRC each year, with a final declaration replacing the traditional return. Payment dates are unchanged.

The VAT registration threshold

Watching the rolling twelve-month turnover figure is one of the quiet jobs of monthly bookkeeping, because the £90,000 VAT threshold arrives silently. Crossing it brings quarterly returns, Making Tax Digital software and a decision about schemes. Crossing it late brings a bill for VAT you could not recover from customers and a penalty for failing to notify.

Questions

Company Formation questions from Quabbs

Can you form a company limited by guarantee or a dormant company?

Yes. Companies limited by guarantee, used by clubs, charities and community groups, are £49 with bespoke objects at £99. Dormant company formation, for protecting a name or holding a future business, is £29. Both carry the £100 Companies House fee and both have their own service pages.

What is the difference between a limited company and a sole trader?

A company is a separate legal person: it owns the business, owes the debts and pays Corporation Tax, and you take income as salary and dividends. A sole trader is personally liable and pays income tax on all profits. Companies cost more to run but can save tax at higher profits and protect personal assets. Our free comparison tool shows the numbers.

What happens after the company is formed?

You receive the certificate of incorporation, memorandum and articles, share certificates and the company's authentication code. Then the deadlines start: first confirmation statement within 12 months and 14 days, first accounts within 21 months, Corporation Tax payment nine months after the first year end. We diarise all of them and remind you.

Can I form a company if I live outside the UK?

Yes. A UK company can have non-resident directors and shareholders, but it must have a UK registered office and directors must complete identity verification. Our non-resident formation service at £149 includes the registered office; HMRC registrations and a bank account introduction are handled in the £219 and £349 packages.

What does it cost in total?

Our formation-only fee is £49, plus the Companies House incorporation fee of £100 which we pass on at cost and show separately. So a basic formation is £149 all in. The £99 package adds Corporation Tax and PAYE registration, £149 adds a year's registered office, and the £199 startup pack includes registrations and bookkeeping setup.

How long does incorporation take?

Companies House usually approves online incorporations within 24 hours, often the same working day. We need your chosen name, the registered office address, details of each director and shareholder with their identity verification, the share structure and your SIC code. Most clients give us everything in one conversation.

How do I get started from Quabbs?

Message us on WhatsApp or email with a sentence about your business and what you need. We reply in working hours with any questions and a fixed fee for company formation. Once you confirm, we tell you exactly which records to send and the work begins. Most Quabbs clients are set up within a day.

Do you have an office in Quabbs?

No. IGI Accounting is an online-only firm. We serve Quabbs and every other UK postcode remotely, with records sent by WhatsApp or email and everything filed electronically. The absence of local premises is why the fee for company formation is the same in Quabbs as anywhere else in the country, and why there is nothing to visit and nothing to print.
