How it works

Company Formation from Perthi, step by step

  1. Tell us your situation

A short message or call about what you do and what needs filing. We ask the questions that determine the right package and nothing more.

  2. Fixed fee in writing

You receive one price for the work, confirmed by email before anything starts. It does not change if the job takes longer than we expected.

  3. Send records, review the draft

Records come by WhatsApp or email. We prepare the draft, explain the figures in plain English and answer your questions.

  4. We file, you get the receipts

Once you approve and the fee is settled, we submit electronically and forward the HMRC or Companies House acknowledgement the same day.

Why IGI

What you get in Perthi

No hourly rate and no surprise invoice. Perthi clients know the fee for company formation before they send a single document, and it stays fixed.

We work to the HMRC and Companies House calendar, not an appointment diary. Clients in Perthi get reminders at 60, 30 and 7 days before each date that applies to company formation.

Online only, UK based. There is no office in Perthi to pay for, which is why the fee is the same here as anywhere in Wales; the work is done by people in the UK who answer the same day.

Continuity matters in company formation: the person who prepared last year's work for your Perthi business prepares this year's, and remembers what was agreed.

We explain company formation in the words Perthi business owners use, not in accountant's shorthand, and we show our working so you can check it.

Nothing is filed for Perthi until you have reviewed and approved it. You see the draft, you ask questions, you sign off, then we submit and send you the receipt.

Local facts

About Perthi

Perthi is in Wales, Wales. Welsh taxpayers pay Welsh rates of income tax, set by the Senedd and currently matching the English bands, collected under a C-prefixed tax code. National Insurance, VAT and Corporation Tax are UK-wide. Property purchases in Wales pay Land Transaction Tax to the Welsh Revenue Authority rather than Stamp Duty, with its own bands and rates.

Worth knowing

Rules that come up in this work

Switching accountants

The main reasons people switch accountant are surprise invoices, missed deadlines and not understanding what they are being told. Switching involves a clearance letter between the firms, a transfer of records and agent authorisations, and a short handover of the current position. It takes about two weeks and should cost nothing extra.

Closing a company

Striking off a company is cheap but must be done in order: stop trading, file the final accounts and CT600, pay the tax, close VAT and PAYE, distribute the remaining assets, close the bank account, then apply. Anything left in the company at dissolution passes to the Crown. Distributions up to £25,000 are taxed as capital gains; above that a formal liquidation is usually needed to keep capital treatment.

Confirmation statements and identity verification

Every company must file a confirmation statement at least once a year, within fourteen days of its review date, with a £50 Companies House fee. Since November 2025 directors and people with significant control must also verify their identity with Companies House, and the confirmation statement is where existing officers confirm they have done so during the transition year.

CIS deductions

Under the Construction Industry Scheme, contractors deduct 20% from a registered subcontractor's labour invoices, or 30% if unregistered, and pay it to HMRC. The subcontractor reclaims the deductions against their actual tax through Self Assessment, usually producing a refund because deductions are on turnover while tax is on profit. Contractors file a monthly return by the 19th.

Record keeping

HMRC requires records of all income and expenses, bank statements, invoices and receipts to be kept for at least five years after the 31 January filing deadline of the tax year they relate to, and companies must keep records for six years from the end of the accounting period. Digital copies are acceptable. Under Making Tax Digital the records must be kept in compatible software.

Allowable expenses

An expense is allowable against trading profit if it is incurred wholly and exclusively for the business. Materials, business travel other than ordinary commuting, a proportion of home running costs, software, insurance, professional fees, bank charges and protective clothing qualify. Client entertainment, ordinary clothing, fines and the private share of mixed-use costs do not.

Crypto records and reporting

Crypto tax splits into capital gains on disposals and income on rewards, with different rates and different reporting. The £3,000 annual exempt amount and the 18% and 24% rates apply to gains; staking, mining and airdrop income is taxed at marginal income tax rates. HMRC's nudge letters to holders have increased sharply, and a voluntary disclosure before one arrives is treated far more leniently.

Questions

Company Formation questions from Perthi

What is the difference between a limited company and a sole trader?

A company is a separate legal person: it owns the business, owes the debts and pays Corporation Tax, and you take income as salary and dividends. A sole trader is personally liable and pays income tax on all profits. Companies cost more to run but can save tax at higher profits and protect personal assets. Our free comparison tool shows the numbers.

What happens after the company is formed?

You receive the certificate of incorporation, memorandum and articles, share certificates and the company's authentication code. Then the deadlines start: first confirmation statement within 12 months and 14 days, first accounts within 21 months, Corporation Tax payment nine months after the first year end. We diarise all of them and remind you.

Can I form a company if I live outside the UK?

Yes. A UK company can have non-resident directors and shareholders, but it must have a UK registered office and directors must complete identity verification. Our non-resident formation service at £149 includes the registered office; HMRC registrations and a bank account introduction are handled in the £219 and £349 packages.

What does it cost in total?

Our formation-only fee is £49, plus the Companies House incorporation fee of £100 which we pass on at cost and show separately. So a basic formation is £149 all in. The £99 package adds Corporation Tax and PAYE registration, £149 adds a year's registered office, and the £199 startup pack includes registrations and bookkeeping setup.

How long does incorporation take?

Companies House usually approves online incorporations within 24 hours, often the same working day. We need your chosen name, the registered office address, details of each director and shareholder with their identity verification, the share structure and your SIC code. Most clients give us everything in one conversation.

Do directors need to verify their identity?

Yes. Since 18 November 2025 every new director and person with significant control must verify their identity with Companies House before or at incorporation, through GOV.UK One Login or an authorised agent. We tell you exactly how to do it and check that the verification is linked before we file.

Which deadlines matter most for company formation?

The next four dates that apply to company formation are shown at the top of this page, calculated from today. For Perthi clients we diarise every one of them from the day you join and send reminders before each, so the work is done in good time rather than in the last week before a penalty.
