Why IGI

The IGI way of working, in Penrhiwpal

No hourly rate and no surprise invoice. Penrhiwpal clients know the fee for limited company accounts before they send a single document, and it stays fixed.

We work to the HMRC and Companies House calendar, not an appointment diary. Clients in Penrhiwpal get reminders at 60, 30 and 7 days before each date that applies to limited company accounts.

Online only, UK based. There is no office in Penrhiwpal to pay for, which is why the fee is the same here as anywhere in Wales; the work is done by people in the UK who answer the same day.

Continuity matters in limited company accounts: the person who prepared last year's work for your Penrhiwpal business prepares this year's, and remembers what was agreed.

Plain English, with the numbers. Every draft for Penrhiwpal comes with a short explanation of what the figures mean and what, if anything, you should do about them.

You stay in control of limited company accounts: drafts go to Penrhiwpal clients first, with the figures explained, and nothing leaves us until you say so.

Local facts

About Penrhiwpal

Penrhiwpal is in Wales, Wales. Welsh taxpayers pay Welsh rates of income tax, set by the Senedd and currently matching the English bands, collected under a C-prefixed tax code. National Insurance, VAT and Corporation Tax are UK-wide. Property purchases in Wales pay Land Transaction Tax to the Welsh Revenue Authority rather than Stamp Duty, with its own bands and rates.

Worth knowing

Rules that come up in this work

The VAT registration threshold

The £90,000 VAT threshold is measured over any twelve consecutive months, which is why a strong quarter can tip a business over unexpectedly. Registration must follow within thirty days of the end of the month the threshold was crossed. Below the threshold, voluntary registration is worth considering when customers are VAT-registered businesses and costs carry VAT.

Corporation Tax rates and marginal relief

Since April 2023 there have been two Corporation Tax rates, 19% small profits and 25% main, with marginal relief smoothing the transition between £50,000 and £250,000 of profit. The band is where planning matters: each pound of profit in it is taxed at an effective 26.5%, so pension contributions and capital expenditure timed to keep profit below £50,000 are worth more than they look.

Salary versus dividends

Paying yourself from a company involves two routes with different tax treatment. Salary through payroll is a company expense and builds a National Insurance record; dividends come from post-tax profit at lower personal rates. Undocumented drawings that are neither become director's loans, with a 35.75% section 455 charge if not repaid within nine months of the year end.

Director's loan accounts

The most common tax problem in owner-managed companies is an overdrawn director's loan account: drawings taken during the year that were never declared as dividends or salary. The company faces a 35.75% charge on the balance outstanding nine months after the year end, and the director may have a benefit in kind. We review the account before every year end to clear it properly.

The Self Assessment calendar

Four dates govern Self Assessment: 5 October to register, 31 October for paper returns, 31 January to file online and pay, and 31 July for the second payment on account. Missing the January date triggers an automatic £100 penalty before any tax is even considered, so we treat it as the fixed point around which the rest of the year is planned.

Payments on account

Payments on account catch out most people in their second year of self-employment. HMRC assumes next year's tax will match this year's and collects half in January and half in July, in advance, on top of the balancing payment. If profits are dropping you can apply to reduce them, but reducing them too far attracts interest. We calculate the right figure rather than guessing.

Late filing penalties

Lateness is expensive in a way that compounds. For individuals, £100 immediately, then daily penalties, then percentage-based ones at six and twelve months, with interest running on unpaid tax throughout. For companies, Companies House penalties scale with delay and double on repeat, and HMRC adds its own for a late CT600. Filing on time is the cheapest tax planning there is.

Questions

Limited Company Accounts questions from Penrhiwpal

How do dividends work and how much can I take?

Dividends can only be paid from accumulated profits after Corporation Tax. We calculate the distributable reserves in your accounts and tell you the figure. Dividends need a board minute and a voucher each time; we provide templates. The personal tax on dividends depends on your other income, and the planning review covers that.

What is a director's loan account and why does it matter?

It records money moving between you and the company that is not salary or dividend. If you owe the company money at the year end and have not repaid it within nine months, the company pays 35.75% section 455 tax on the balance, refundable later. We review the account before finalising and tell you the options.

What is the difference between micro-entity and small company accounts?

A micro-entity has turnover under £1 million, a balance sheet under £500,000 and up to 10 employees (thresholds from April 2025) and may file abbreviated accounts with very few notes, at our £299 fee. Companies above those limits but still "small" file fuller accounts with more disclosures, at £449. We confirm which you are from your figures.

What do you need from me to prepare the accounts?

Bank statements for the full year, sales and purchase records or your bookkeeping software login, details of any assets bought or sold, loans, and the previous year's accounts and CT600 if we did not prepare them. If your books are not kept, the "from bank statements" approach works but may move you to the small company fee.

When are company accounts due?

Nine months after your accounting reference date for Companies House, and the Corporation Tax payment is due nine months and one day after the year end. The CT600 itself is due twelve months after the year end. A first set of accounts is due 21 months after incorporation. We track all of these and remind you.

What happens if accounts are filed late?

Companies House penalties are automatic and double if you were late the previous year too: £150 up to one month late, £375 up to three months, £750 up to six months and £1,500 beyond that for a private company. HMRC adds £100 for a late CT600, rising with time. Our fee includes filing rescue at no extra charge if we have your records in time.

Which deadlines matter most for limited company accounts?

The next four dates that apply to limited company accounts are shown at the top of this page, calculated from today. For Penrhiwpal clients we diarise every one of them from the day you join and send reminders before each, so the work is done in good time rather than in the last week before a penalty.
