Company formation in Lindley Estate
Founders in Lindley Estate often incorporate themselves in ten minutes and spend months fixing the result: wrong share classes, a home address on the public register, no Corporation Tax registration, a missed first confirmation statement. We set the company up to avoid all of that, for a fixed fee, and track the first-year deadlines for every company we form across West Midlands.
from £49 · fixed, one-off

Worth knowing
Rules that come up in this work
Confirmation statements and identity verification
Companies House has tightened its requirements under the Economic Crime and Corporate Transparency Act: every company needs a registered email address and an appropriate registered office, every statement includes a lawful-purpose declaration, and every director and PSC must verify their identity. The confirmation statement, due annually with a £50 fee, is where most of this is confirmed.
CIS deductions
Under the Construction Industry Scheme, contractors deduct 20% from a registered subcontractor's labour invoices, or 30% if unregistered, and pay it to HMRC. The subcontractor reclaims the deductions against their actual tax through Self Assessment, usually producing a refund because deductions are on turnover while tax is on profit. Contractors file a monthly return by the 19th.
Employer National Insurance
The cost of an employee is more than the salary. Employer National Insurance at 15% above £5,000 a year, the 3% minimum pension contribution, holiday pay, equipment and management time all come on top. The Employment Allowance of £10,500 reduces the National Insurance for most employers with more than one person on the payroll.
Workplace pensions and auto-enrolment
Workplace pension compliance is part of payroll, not separate from it. Each pay period the payroll assesses who is eligible, calculates employer and employee contributions on qualifying earnings between the lower and upper thresholds, and sends the contribution file to the scheme. The minimum total is 8%, and many employers choose to contribute more as a recruitment advantage.
Dormant companies
A dormant company is one with no significant accounting transactions in the year, where the only permitted entries are the payment for shares on incorporation, Companies House fees and penalties. It still files a confirmation statement and simplified dormant accounts every year. A bank charge or an accountant's fee paid from the company ends dormancy and requires full accounts.
The trading and property allowances
Not every small income needs a tax return. The trading allowance exempts the first £1,000 of self-employment or casual income and the property allowance does the same for rental income, each measured on gross receipts. They cannot be combined with rent-a-room relief on the same income, and claiming the allowance means giving up the expense deduction for that source.
Crypto records and reporting
Most crypto holders have taxable events they do not recognise, because every swap is a disposal even when no pounds change hands. The computation requires the complete transaction history from every exchange and wallet, pooled by asset with HMRC's matching rules applied. Exchange-generated tax reports are frequently wrong because they cannot see transfers between a user's own wallets.
Questions
Company Formation questions from Lindley Estate
Do directors need to verify their identity?
Yes. Since 18 November 2025 every new director and person with significant control must verify their identity with Companies House before or at incorporation, through GOV.UK One Login or an authorised agent. We tell you exactly how to do it and check that the verification is linked before we file.
Can I use my home address?
You can, but it becomes public on the Companies House register as the registered office and as your service address. Most founders prefer not to. Our registered office service at £69 a year provides a London address for official post, and the £149 formation package includes the first year.
What does it cost in total?
Our formation-only fee is £49, plus the Companies House incorporation fee of £100 which we pass on at cost and show separately. So a basic formation is £149 all in. The £99 package adds Corporation Tax and PAYE registration, £149 adds a year's registered office, and the £199 startup pack includes registrations and bookkeeping setup.
How long does incorporation take?
Companies House usually approves online incorporations within 24 hours, often the same working day. We need your chosen name, the registered office address, details of each director and shareholder with their identity verification, the share structure and your SIC code. Most clients give us everything in one conversation.
Does the company need to register for Corporation Tax?
Yes, within three months of starting to trade. HMRC usually issues the company's Unique Taxpayer Reference by post shortly after incorporation. Registration for Corporation Tax is included in our £99 package and above; the formation-only package leaves it to you, and we tell you how.
When should I register for VAT and PAYE?
VAT when taxable turnover will exceed £90,000 in a rolling 12 months, or voluntarily before if it helps. PAYE before the first salary payment, including to yourself as director. Both are included in the £99 package or available separately at £49 each.
Do you have an office in Lindley Estate?
No. IGI Accounting is an online-only firm. We serve Lindley Estate and every other UK postcode remotely, with records sent by WhatsApp or email and everything filed electronically. The absence of local premises is why the fee for company formation is the same in Lindley Estate as anywhere else in the country, and why there is nothing to visit and nothing to print.
Is company formation in Lindley Estate really the same price as elsewhere?
Yes. The fee published on this page is what a client in Lindley Estate pays and what a client in any other part of England pays. It is confirmed in writing before work starts and the invoice matches the quote. Where a higher package applies because your situation is more complex, we say so at the quote stage, never afterwards.
