Why IGI

What you get in Lieurary

One fixed fee for company formation in Lieurary, agreed in writing before any work starts and never changed part-way through the job, however long it takes us.

We work to the HMRC and Companies House calendar, not an appointment diary. Clients in Lieurary get reminders at 60, 30 and 7 days before each date that applies to company formation.

We serve Lieurary remotely by design: records by WhatsApp or email, drafts back for approval, filing electronic. The saving on premises is passed to you in the fee for company formation.

Continuity matters in company formation: the person who prepared last year's work for your Lieurary business prepares this year's, and remembers what was agreed.

The output for Lieurary clients is never just a form. It is the form, a one-page summary of what it says, and a note of the decisions it points to for company formation.

Nothing is filed for Lieurary until you have reviewed and approved it. You see the draft, you ask questions, you sign off, then we submit and send you the receipt.

Local facts

About Lieurary

Lieurary is in Scotland, Scotland. Tax in Scotland differs from the rest of the UK on earned income: six bands with a 21% intermediate rate and a 48% top rate, identified by an S prefix on the tax code. The interaction between Scottish rates on salary and UK rates on dividends makes the salary-and-dividend split for Scottish directors a distinct calculation, and Land and Buildings Transaction Tax replaces Stamp Duty.

Worth knowing

Rules that come up in this work

Record keeping

Good records are the difference between a quick enquiry and a long one. For the self-employed, five years after the filing deadline; for companies, six years from the year end; for VAT, six years. Photographs of receipts, PDF statements and software exports all count. The requirement is to keep records, not paper, and a well-organised cloud folder satisfies it.

Workplace pensions and auto-enrolment

Workplace pension compliance is part of payroll, not separate from it. Each pay period the payroll assesses who is eligible, calculates employer and employee contributions on qualifying earnings between the lower and upper thresholds, and sends the contribution file to the scheme. The minimum total is 8%, and many employers choose to contribute more as a recruitment advantage.

Employer National Insurance

Employers pay National Insurance at 15% on each employee's earnings above the £5,000 secondary threshold, following the April 2025 changes. The Employment Allowance offsets up to £10,500 of this for eligible employers, which for a small team often removes the liability entirely, but companies where the director is the only employee do not qualify.

The trading and property allowances

Not every small income needs a tax return. The trading allowance exempts the first £1,000 of self-employment or casual income and the property allowance does the same for rental income, each measured on gross receipts. They cannot be combined with rent-a-room relief on the same income, and claiming the allowance means giving up the expense deduction for that source.

Dormant companies

A dormant company is one with no significant accounting transactions in the year, where the only permitted entries are the payment for shares on incorporation, Companies House fees and penalties. It still files a confirmation statement and simplified dormant accounts every year. A bank charge or an accountant's fee paid from the company ends dormancy and requires full accounts.

CIS deductions

CIS turns construction subcontractors into advance taxpayers: a fifth of every labour payment goes to HMRC before they see it. Registering keeps the rate at 20% rather than 30%; gross payment status, for established businesses with a clean record, removes deductions altogether. The annual return is where the overpayment comes back, and filing it early brings the refund sooner.

Confirmation statements and identity verification

Companies House has tightened its requirements under the Economic Crime and Corporate Transparency Act: every company needs a registered email address and an appropriate registered office, every statement includes a lawful-purpose declaration, and every director and PSC must verify their identity. The confirmation statement, due annually with a £50 fee, is where most of this is confirmed.

Questions

Company Formation questions from Lieurary

What is the difference between a limited company and a sole trader?

A company is a separate legal person: it owns the business, owes the debts and pays Corporation Tax, and you take income as salary and dividends. A sole trader is personally liable and pays income tax on all profits. Companies cost more to run but can save tax at higher profits and protect personal assets. Our free comparison tool shows the numbers.

Can you form a company limited by guarantee or a dormant company?

Yes. Companies limited by guarantee, used by clubs, charities and community groups, are £49 with bespoke objects at £99. Dormant company formation, for protecting a name or holding a future business, is £29. Both carry the £100 Companies House fee and both have their own service pages.

Can I form a company if I live outside the UK?

Yes. A UK company can have non-resident directors and shareholders, but it must have a UK registered office and directors must complete identity verification. Our non-resident formation service at £149 includes the registered office; HMRC registrations and a bank account introduction are handled in the £219 and £349 packages.

What happens after the company is formed?

You receive the certificate of incorporation, memorandum and articles, share certificates and the company's authentication code. Then the deadlines start: first confirmation statement within 12 months and 14 days, first accounts within 21 months, Corporation Tax payment nine months after the first year end. We diarise all of them and remind you.

When should I register for VAT and PAYE?

VAT when taxable turnover will exceed £90,000 in a rolling 12 months, or voluntarily before if it helps. PAYE before the first salary payment, including to yourself as director. Both are included in the £99 package or available separately at £49 each.

Does the company need to register for Corporation Tax?

Yes, within three months of starting to trade. HMRC usually issues the company's Unique Taxpayer Reference by post shortly after incorporation. Registration for Corporation Tax is included in our £99 package and above; the formation-only package leaves it to you, and we tell you how.

How do I get started from Lieurary?

Message us on WhatsApp or email with a sentence about your business and what you need. We reply in working hours with any questions and a fixed fee for company formation. Once you confirm, we tell you exactly which records to send and the work begins. Most Lieurary clients are set up within a day.

Which deadlines matter most for company formation?

The next four dates that apply to company formation are shown at the top of this page, calculated from today. For Lieurary clients we diarise every one of them from the day you join and send reminders before each, so the work is done in good time rather than in the last week before a penalty.
