How it works

Company Formation from Kemback, step by step

  1. Tell us your situation

A short message or call about what you do and what needs filing. We ask the questions that determine the right package and nothing more.

  2. Fixed fee in writing

You receive one price for the work, confirmed by email before anything starts. It does not change if the job takes longer than we expected.

  3. Send records, review the draft

Records come by WhatsApp or email. We prepare the draft, explain the figures in plain English and answer your questions.

  4. We file, you get the receipts

Once you approve and the fee is settled, we submit electronically and forward the HMRC or Companies House acknowledgement the same day.

Why IGI

The IGI way of working, in Kemback

No hourly rate and no surprise invoice. Kemback clients know the fee for company formation before they send a single document, and it stays fixed.

We work to the HMRC and Companies House calendar, not an appointment diary. Clients in Kemback get reminders at 60, 30 and 7 days before each date that applies to company formation.

Online only, UK based. There is no office in Kemback to pay for, which is why the fee is the same here as anywhere in Scotland; the work is done by people in the UK who answer the same day.

Continuity matters in company formation: the person who prepared last year's work for your Kemback business prepares this year's, and remembers what was agreed.

We explain company formation in the words Kemback business owners use, not in accountant's shorthand, and we show our working so you can check it.

Nothing is filed for Kemback until you have reviewed and approved it. You see the draft, you ask questions, you sign off, then we submit and send you the receipt.

Worth knowing

Rules that come up in this work

The Self Assessment calendar

Four dates govern Self Assessment: 5 October to register, 31 October for paper returns, 31 January to file online and pay, and 31 July for the second payment on account. Missing the January date triggers an automatic £100 penalty before any tax is even considered, so we treat it as the fixed point around which the rest of the year is planned.

Payments on account

If your Self Assessment bill exceeds £1,000 and less than 80% of your tax was collected at source, HMRC asks for two advance payments towards the following year, each half of the current bill, due 31 January and 31 July. The first year this happens the January payment is effectively one and a half times the bill. We model it in advance and show you how to reduce the payments if income is falling.

Late filing penalties

HMRC's penalties for a late Self Assessment return are automatic: £100 the day after 31 January, £10 a day from three months late up to £900, then the greater of £300 or 5% of the tax at six and twelve months. Interest and separate late-payment penalties apply to the tax itself. Companies House charges £150 to £1,500 for late accounts, doubling for a second consecutive year.

Making Tax Digital for Income Tax

Making Tax Digital for Income Tax began in April 2026 for sole traders and landlords with qualifying income over £50,000, extends to those over £30,000 in April 2027 and is planned for £20,000 in April 2028. It requires digital records in compatible software and four quarterly updates to HMRC each year, with a final declaration replacing the traditional return. Payment dates are unchanged.

Record keeping

Record keeping is a legal obligation with a penalty of up to £3,000 for failure, but its real value is in making every other filing cheaper and more defensible. Keep invoices, receipts, bank statements, mileage logs and any HMRC correspondence, digitally if you like, for five years after the relevant filing deadline for individuals and six years for companies and VAT.

The VAT registration threshold

The £90,000 VAT threshold is measured over any twelve consecutive months, which is why a strong quarter can tip a business over unexpectedly. Registration must follow within thirty days of the end of the month the threshold was crossed. Below the threshold, voluntary registration is worth considering when customers are VAT-registered businesses and costs carry VAT.

Allowable expenses

The expenses sole traders most often miss are home working costs, claimed by actual proportion or HMRC's flat rate, the business share of phone and internet, mileage at 45p for the first 10,000 business miles, and training that maintains existing skills. The ones most often claimed wrongly are commuting, entertaining customers and clothes that could be worn outside work.

Questions

Company Formation questions from Kemback

What does it cost in total?

Our formation-only fee is £49, plus the Companies House incorporation fee of £100 which we pass on at cost and show separately. So a basic formation is £149 all in. The £99 package adds Corporation Tax and PAYE registration, £149 adds a year's registered office, and the £199 startup pack includes registrations and bookkeeping setup.

How long does incorporation take?

Companies House usually approves online incorporations within 24 hours, often the same working day. We need your chosen name, the registered office address, details of each director and shareholder with their identity verification, the share structure and your SIC code. Most clients give us everything in one conversation.

Do directors need to verify their identity?

Yes. Since 18 November 2025 every new director and person with significant control must verify their identity with Companies House before or at incorporation, through GOV.UK One Login or an authorised agent. We tell you exactly how to do it and check that the verification is linked before we file.

Can I use my home address?

You can, but it becomes public on the Companies House register as the registered office and as your service address. Most founders prefer not to. Our registered office service at £69 a year provides a London address for official post, and the £149 formation package includes the first year.

What share structure should I have?

For a single founder, one ordinary share of £1 is usual. For two or more, the split should reflect the agreed ownership and may use different share classes to allow different dividend payments. We discuss this before filing, because changing it later needs resolutions and filings. We also advise on whether a shareholders' agreement is worth having.

What is a SIC code and which one do I need?

The Standard Industrial Classification code describes what the company does and appears on the public register. You can have up to four. We pick the right ones from the official list for your trade. Changing them later is done through the confirmation statement, which is our £39 SIC change service.

Which deadlines matter most for company formation?

The next four dates that apply to company formation are shown at the top of this page, calculated from today. For Kemback clients we diarise every one of them from the day you join and send reminders before each, so the work is done in good time rather than in the last week before a penalty.

How do I get started from Kemback?

Message us on WhatsApp or email with a sentence about your business and what you need. We reply in working hours with any questions and a fixed fee for company formation. Once you confirm, we tell you exactly which records to send and the work begins. Most Kemback clients are set up within a day.
