Company formation in Hinton Blewett

Founders in Hinton Blewett often incorporate themselves in ten minutes and spend months fixing the result: wrong share classes, a home address on the public register, no Corporation Tax registration, a missed first confirmation statement. We set the company up to avoid all of that, for a fixed fee, and track the first-year deadlines for every company we form across South West.

Worth knowing

Rules that come up in this work

Salary versus dividends

Paying yourself from a company involves two routes with different tax treatment. Salary through payroll is a company expense and builds a National Insurance record; dividends come from post-tax profit at lower personal rates. Undocumented drawings that are neither become director's loans, with a 35.75% section 455 charge if not repaid within nine months of the year end.

Director's loan accounts

The most common tax problem in owner-managed companies is an overdrawn director's loan account: drawings taken during the year that were never declared as dividends or salary. The company faces a 35.75% charge on the balance outstanding nine months after the year end, and the director may have a benefit in kind. We review the account before every year end to clear it properly.

The VAT registration threshold

VAT registration is compulsory once taxable turnover in any rolling twelve-month period exceeds £90,000, or when you expect to exceed that in the next thirty days alone. The test is rolling, not by tax year, and includes zero-rated sales. Businesses regularly cross it without noticing, and late registration means accounting for VAT on sales where it was never charged to customers.

Corporation Tax rates and marginal relief

Companies pay Corporation Tax at 19% on profits up to £50,000 and 25% on profits over £250,000. Between those figures marginal relief applies, producing an effective rate that rises gradually and a marginal rate of 26.5% on each pound in the band. The thresholds are divided by the number of associated companies, so a director with two companies has thresholds of £25,000 and £125,000 for each.

Confirmation statements and identity verification

Companies House has tightened its requirements under the Economic Crime and Corporate Transparency Act: every company needs a registered email address and an appropriate registered office, every statement includes a lawful-purpose declaration, and every director and PSC must verify their identity. The confirmation statement, due annually with a £50 fee, is where most of this is confirmed.

CIS deductions

CIS turns construction subcontractors into advance taxpayers: a fifth of every labour payment goes to HMRC before they see it. Registering keeps the rate at 20% rather than 30%; gross payment status, for established businesses with a clean record, removes deductions altogether. The annual return is where the overpayment comes back, and filing it early brings the refund sooner.

Switching accountants

The main reasons people switch accountant are surprise invoices, missed deadlines and not understanding what they are being told. Switching involves a clearance letter between the firms, a transfer of records and agent authorisations, and a short handover of the current position. It takes about two weeks and should cost nothing extra.

Questions

Company Formation questions from Hinton Blewett

Can you form a company limited by guarantee or a dormant company?

Yes. Companies limited by guarantee, used by clubs, charities and community groups, are £49 with bespoke objects at £99. Dormant company formation, for protecting a name or holding a future business, is £29. Both carry the £100 Companies House fee and both have their own service pages.

What is the difference between a limited company and a sole trader?

A company is a separate legal person: it owns the business, owes the debts and pays Corporation Tax, and you take income as salary and dividends. A sole trader is personally liable and pays income tax on all profits. Companies cost more to run but can save tax at higher profits and protect personal assets. Our free comparison tool shows the numbers.

What happens after the company is formed?

You receive the certificate of incorporation, memorandum and articles, share certificates and the company's authentication code. Then the deadlines start: first confirmation statement within 12 months and 14 days, first accounts within 21 months, Corporation Tax payment nine months after the first year end. We diarise all of them and remind you.

Can I form a company if I live outside the UK?

Yes. A UK company can have non-resident directors and shareholders, but it must have a UK registered office and directors must complete identity verification. Our non-resident formation service at £149 includes the registered office; HMRC registrations and a bank account introduction are handled in the £219 and £349 packages.

Does the company need to register for Corporation Tax?

Yes, within three months of starting to trade. HMRC usually issues the company's Unique Taxpayer Reference by post shortly after incorporation. Registration for Corporation Tax is included in our £99 package and above; the formation-only package leaves it to you, and we tell you how.

When should I register for VAT and PAYE?

VAT when taxable turnover will exceed £90,000 in a rolling 12 months, or voluntarily before if it helps. PAYE before the first salary payment, including to yourself as director. Both are included in the £99 package or available separately at £49 each.

Do you have an office in Hinton Blewett?

No. IGI Accounting is an online-only firm. We serve Hinton Blewett and every other UK postcode remotely, with records sent by WhatsApp or email and everything filed electronically. The absence of local premises is why the fee for company formation is the same in Hinton Blewett as anywhere else in the country, and why there is nothing to visit and nothing to print.

Is company formation in Hinton Blewett really the same price as elsewhere?

Yes. The fee published on this page is what a client in Hinton Blewett pays and what a client in any other part of England pays. It is confirmed in writing before work starts and the invoice matches the quote. Where a higher package applies because your situation is more complex, we say so at the quote stage, never afterwards.
