Company formation in Cynffig

Founders in Cynffig often incorporate themselves in ten minutes and spend months fixing the result: wrong share classes, a home address on the public register, no Corporation Tax registration, a missed first confirmation statement. We set the company up to avoid all of that, for a fixed fee, and track the first-year deadlines for every company we form across Wales.

from £49 · fixed, one-off

Next deadlines

  • Companies House identity verification for directors and PSCs, phased in from 18 November 2025
  • Confirmation statement due within 14 days of your review date, at least once every 12 months
  • Companies House accounts due 9 months after your year end (a 31 December year end files by 30 September)
  • Corporation Tax payment, 9 months and 1 day after your year end (a 31 December year end pays by 1 October)

How it works

Company Formation from Cynffig, step by step

  1. Tell us your situation

A short message or call about what you do and what needs filing. We ask the questions that determine the right package and nothing more.

  2. Fixed fee in writing

You receive one price for the work, confirmed by email before anything starts. It does not change if the job takes longer than we expected.

  3. Send records, review the draft

Records come by WhatsApp or email. We prepare the draft, explain the figures in plain English and answer your questions.

  4. We file, you get the receipts

Once you approve and the fee is settled, we submit electronically and forward the HMRC or Companies House acknowledgement the same day.

Why IGI

What you get in Cynffig

No hourly rate and no surprise invoice. Cynffig clients know the fee for company formation before they send a single document, and it stays fixed.

We work to the HMRC and Companies House calendar, not an appointment diary. Clients in Cynffig get reminders at 60, 30 and 7 days before each date that applies to company formation.

We serve Cynffig remotely by design: records by WhatsApp or email, drafts back for approval, filing electronic. The saving on premises is passed to you in the fee for company formation.

A named person handles your company formation from Cynffig and knows the file, so you are not re-explaining your business to a different helpdesk each time.

Plain English, with the numbers. Every draft for Cynffig comes with a short explanation of what the figures mean and what, if anything, you should do about them.

You stay in control of company formation: drafts go to Cynffig clients first, with the figures explained, and nothing leaves us until you say so.

Local facts

About Cynffig

Cynffig is in Wales, Wales. Welsh taxpayers pay Welsh rates of income tax, set by the Senedd and currently matching the English bands, collected under a C-prefixed tax code. National Insurance, VAT and Corporation Tax are UK-wide. Property purchases in Wales pay Land Transaction Tax to the Welsh Revenue Authority rather than Stamp Duty, with its own bands and rates.

Worth knowing

Rules that come up in this work

Crypto records and reporting

HMRC treats cryptoassets as property. Swapping one token for another, spending crypto or gifting it are all disposals for Capital Gains Tax, and staking and lending rewards are income. Gains are computed under pooling rules with same-day and 30-day matching. From 2026 HMRC receives data from exchanges worldwide under the Cryptoasset Reporting Framework, so unreported activity is increasingly visible.

The 60-day property CGT return

The 60-day Capital Gains Tax return on residential property is the deadline landlords most often miss, because it falls outside the Self Assessment cycle and runs from completion, not exchange. Private residence relief for periods you lived in the property, plus the final nine months, reduces the gain. Penalties for a late return mirror Self Assessment, starting at £100.

Record keeping

HMRC requires records of all income and expenses, bank statements, invoices and receipts to be kept for at least five years after the 31 January filing deadline of the tax year they relate to, and companies must keep records for six years from the end of the accounting period. Digital copies are acceptable. Under Making Tax Digital the records must be kept in compatible software.

Allowable expenses

Expense claims are where a return is won or lost in an enquiry. The test is wholly and exclusively for the trade; where a cost is mixed, the business proportion can be claimed if it can be identified. Capital items such as equipment and vans are relieved through capital allowances rather than as expenses, except under the cash basis where they are simply deducted when paid.

Employer National Insurance

The cost of an employee is more than the salary. Employer National Insurance at 15% above £5,000 a year, the 3% minimum pension contribution, holiday pay, equipment and management time all come on top. The Employment Allowance of £10,500 reduces the National Insurance for most employers with more than one person on the payroll.

Workplace pensions and auto-enrolment

Every employer must assess its workers for automatic enrolment from the first employee's start date. Those aged 22 to State Pension age earning over £10,000 a year must be enrolled into a qualifying pension with minimum contributions of 8% of qualifying earnings, at least 3% from the employer, and a declaration of compliance made to the Pensions Regulator within five months.

Dormant companies

A dormant company is one with no significant accounting transactions in the year, where the only permitted entries are the payment for shares on incorporation, Companies House fees and penalties. It still files a confirmation statement and simplified dormant accounts every year. A bank charge or an accountant's fee paid from the company ends dormancy and requires full accounts.

Questions

Company Formation questions from Cynffig

Can you form a company limited by guarantee or a dormant company?

Yes. Companies limited by guarantee, used by clubs, charities and community groups, are £49 with bespoke objects at £99. Dormant company formation, for protecting a name or holding a future business, is £29. Both carry the £100 Companies House fee and both have their own service pages.

What is the difference between a limited company and a sole trader?

A company is a separate legal person: it owns the business, owes the debts and pays Corporation Tax, and you take income as salary and dividends. A sole trader is personally liable and pays income tax on all profits. Companies cost more to run but can save tax at higher profits and protect personal assets. Our free comparison tool shows the numbers.

Does the company need to register for Corporation Tax?

Yes, within three months of starting to trade. HMRC usually issues the company's Unique Taxpayer Reference by post shortly after incorporation. Registration for Corporation Tax is included in our £99 package and above; the formation-only package leaves it to you, and we tell you how.

When should I register for VAT and PAYE?

VAT when taxable turnover will exceed £90,000 in a rolling 12 months, or voluntarily before if it helps. PAYE before the first salary payment, including to yourself as director. Both are included in the £99 package or available separately at £49 each.

What share structure should I have?

For a single founder, one ordinary share of £1 is usual. For two or more, the split should reflect the agreed ownership and may use different share classes to allow different dividend payments. We discuss this before filing, because changing it later needs resolutions and filings. We also advise on whether a shareholders' agreement is worth having.

What is a SIC code and which one do I need?

The Standard Industrial Classification code describes what the company does and appears on the public register. You can have up to four. We pick the right ones from the official list for your trade. Changing them later is done through the confirmation statement, which is our £39 SIC change service.

Do you have an office in Cynffig?

No. IGI Accounting is an online-only firm. We serve Cynffig and every other UK postcode remotely, with records sent by WhatsApp or email and everything filed electronically. The absence of local premises is why the fee for company formation is the same in Cynffig as anywhere else in the country, and why there is nothing to visit and nothing to print.

Is company formation in Cynffig really the same price as elsewhere?

Yes. The fee published on this page is what a client in Cynffig pays and what a client in any other part of Wales pays. It is confirmed in writing before work starts and the invoice matches the quote. Where a higher package applies because your situation is more complex, we say so at the quote stage, never afterwards.
