Why IGI

What you get in Cotland

One fixed fee for company formation in Cotland, agreed in writing before any work starts and never changed part-way through the job, however long it takes us.

We work to the HMRC and Companies House calendar, not an appointment diary. Clients in Cotland get reminders at 60, 30 and 7 days before each date that applies to company formation.

We serve Cotland remotely by design: records by WhatsApp or email, drafts back for approval, filing electronic. The saving on premises is passed to you in the fee for company formation.

Continuity matters in company formation: the person who prepared last year's work for your Cotland business prepares this year's, and remembers what was agreed.

The output for Cotland clients is never just a form. It is the form, a one-page summary of what it says, and a note of the decisions it points to for company formation.

Nothing is filed for Cotland until you have reviewed and approved it. You see the draft, you ask questions, you sign off, then we submit and send you the receipt.

Local facts

About Cotland

Cotland is in Wales, Wales. Businesses in Wales file with the same HMRC and Companies House as England, and for now the Welsh rates of income tax equal the English ones, though the Senedd can vary them. The practical differences are Land Transaction Tax on property and Welsh-specific business support schemes, and company names and documents may be in Welsh.

Worth knowing

Rules that come up in this work

Record keeping

HMRC requires records of all income and expenses, bank statements, invoices and receipts to be kept for at least five years after the 31 January filing deadline of the tax year they relate to, and companies must keep records for six years from the end of the accounting period. Digital copies are acceptable. Under Making Tax Digital the records must be kept in compatible software.

Workplace pensions and auto-enrolment

Workplace pension compliance is part of payroll, not separate from it. Each pay period the payroll assesses who is eligible, calculates employer and employee contributions on qualifying earnings between the lower and upper thresholds, and sends the contribution file to the scheme. The minimum total is 8%, and many employers choose to contribute more as a recruitment advantage.

Employer National Insurance

The cost of an employee is more than the salary. Employer National Insurance at 15% above £5,000 a year, the 3% minimum pension contribution, holiday pay, equipment and management time all come on top. The Employment Allowance of £10,500 reduces the National Insurance for most employers with more than one person on the payroll.

The trading and property allowances

The first £1,000 of trading income and, separately, the first £1,000 of property income each year is tax free under the trading and property allowances. Below those figures no return is needed for that income. Above them you can deduct the £1,000 allowance instead of actual expenses if that is better, which suits side businesses and single-room lets with few costs.

Dormant companies

Dormancy is a status that is easy to lose. The strict rule is no accounting transactions other than share capital and Companies House fees, which means no bank account activity at all in practice. Fees should be paid personally by the director. A company that traded and has stopped becomes dormant only after its final trading accounts and tax return are filed and HMRC is told.

CIS deductions

The Construction Industry Scheme affects both sides of a construction payment. Contractors must verify subcontractors, deduct the right amount, issue statements and file monthly, with penalties from £100 for each late return. Subcontractors suffer deductions on turnover and recover the excess at the year end. Limited company subcontractors offset deductions against PAYE monthly instead.

Confirmation statements and identity verification

Every company must file a confirmation statement at least once a year, within fourteen days of its review date, with a £50 Companies House fee. Since November 2025 directors and people with significant control must also verify their identity with Companies House, and the confirmation statement is where existing officers confirm they have done so during the transition year.

Questions

Company Formation questions from Cotland

Can I form a company if I live outside the UK?

Yes. A UK company can have non-resident directors and shareholders, but it must have a UK registered office and directors must complete identity verification. Our non-resident formation service at £149 includes the registered office; HMRC registrations and a bank account introduction are handled in the £219 and £349 packages.

What happens after the company is formed?

You receive the certificate of incorporation, memorandum and articles, share certificates and the company's authentication code. Then the deadlines start: first confirmation statement within 12 months and 14 days, first accounts within 21 months, Corporation Tax payment nine months after the first year end. We diarise all of them and remind you.

When should I register for VAT and PAYE?

VAT when taxable turnover will exceed £90,000 in a rolling 12 months, or voluntarily before if it helps. PAYE before the first salary payment, including to yourself as director. Both are included in the £99 package or available separately at £49 each.

Does the company need to register for Corporation Tax?

Yes, within three months of starting to trade. HMRC usually issues the company's Unique Taxpayer Reference by post shortly after incorporation. Registration for Corporation Tax is included in our £99 package and above; the formation-only package leaves it to you, and we tell you how.

What is a SIC code and which one do I need?

The Standard Industrial Classification code describes what the company does and appears on the public register. You can have up to four. We pick the right ones from the official list for your trade. Changing them later is done through the confirmation statement, which is our £39 SIC change service.

What share structure should I have?

For a single founder, one ordinary share of £1 is usual. For two or more, the split should reflect the agreed ownership and may use different share classes to allow different dividend payments. We discuss this before filing, because changing it later needs resolutions and filings. We also advise on whether a shareholders' agreement is worth having.

How do I get started from Cotland?

Message us on WhatsApp or email with a sentence about your business and what you need. We reply in working hours with any questions and a fixed fee for company formation. Once you confirm, we tell you exactly which records to send and the work begins. Most Cotland clients are set up within a day.

Which deadlines matter most for company formation?

The next four dates that apply to company formation are shown at the top of this page, calculated from today. For Cotland clients we diarise every one of them from the day you join and send reminders before each, so the work is done in good time rather than in the last week before a penalty.
