About Colebatch

Colebatch is in Wales, Wales. Businesses in Wales file with the same HMRC and Companies House as England, and for now the Welsh rates of income tax equal the English ones, though the Senedd can vary them. The practical differences are Land Transaction Tax on property and Welsh-specific business support schemes, and company names and documents may be in Welsh.

Worth knowing

Rules that come up in this work

Closing a company

Voluntary strike-off is available only to solvent companies. One that owes money it cannot pay needs a creditors' voluntary liquidation through a licensed insolvency practitioner, and directors who dissolve an insolvent company face personal consequences. For a solvent company the process takes three to four months from filing the DS01, with notice to creditors and shareholders within seven days.

Switching accountants

Changing accountant is simpler than most people fear. You authorise the new firm, which writes to the old one for professional clearance and your records; the outgoing accountant must hand over your own documents and usually does within two weeks. The new firm registers as your agent with HMRC and picks up the next filing. There is no need to wait for a year end.

The trading and property allowances

Not every small income needs a tax return. The trading allowance exempts the first £1,000 of self-employment or casual income and the property allowance does the same for rental income, each measured on gross receipts. They cannot be combined with rent-a-room relief on the same income, and claiming the allowance means giving up the expense deduction for that source.

Dormant companies

Companies formed to protect a name or hold a future business are dormant but not exempt: Companies House still expects dormant accounts within nine months of the year end and a confirmation statement annually with its £50 fee, and HMRC must be told the company is dormant or it will demand Corporation Tax returns. The filings are short, but the penalties for missing them are the same as for a trading company.

Workplace pensions and auto-enrolment

Auto-enrolment duties begin the day you take on your first employee, not when the Pensions Regulator writes to you. Eligible staff must be enrolled, contributions paid every pay period and re-enrolment carried out every three years. Director-only companies without employment contracts are usually exempt. Fines for non-compliance are fixed and escalating.

Employer National Insurance

Employers pay National Insurance at 15% on each employee's earnings above the £5,000 secondary threshold, following the April 2025 changes. The Employment Allowance offsets up to £10,500 of this for eligible employers, which for a small team often removes the liability entirely, but companies where the director is the only employee do not qualify.

Allowable expenses

An expense is allowable against trading profit if it is incurred wholly and exclusively for the business. Materials, business travel other than ordinary commuting, a proportion of home running costs, software, insurance, professional fees, bank charges and protective clothing qualify. Client entertainment, ordinary clothing, fines and the private share of mixed-use costs do not.

Questions

Limited Company Accounts questions from Colebatch

What if my year end is awkward or I want to change it?

You can shorten your accounting period as often as you like and extend it once every five years, by filing form AA01 with Companies House. Extending a period can push the first filing deadline back. We advise on this before the first year end if it helps, at no extra charge.

What rate of Corporation Tax will my company pay?

Profits up to £50,000 are taxed at the 19% small profits rate, profits over £250,000 at the 25% main rate, with marginal relief in between so the effective rate rises gradually. The thresholds are divided by the number of associated companies, which catches directors who own more than one company.

Can you include my personal tax return?

The £389 bundle covers micro-entity accounts, the CT600 and the director's Self Assessment return together. It is cheaper than buying them separately and ensures the dividends and salary on the personal return match the company's records exactly.

Does the fee include Corporation Tax?

Yes. Both the £299 micro-entity and £449 small company packages include the Corporation Tax computation, the CT600 and electronic filing with HMRC. The standalone CT600 at £199 is for companies whose accounts are prepared elsewhere.

What is a director's loan account and why does it matter?

It records money moving between you and the company that is not salary or dividend. If you owe the company money at the year end and have not repaid it within nine months, the company pays 35.75% section 455 tax on the balance, refundable later. We review the account before finalising and tell you the options.

How do dividends work and how much can I take?

Dividends can only be paid from accumulated profits after Corporation Tax. We calculate the distributable reserves in your accounts and tell you the figure. Dividends need a board minute and a voucher each time; we provide templates. The personal tax on dividends depends on your other income, and the planning review covers that.

Is limited company accounts in Colebatch really the same price as elsewhere?

Yes. The fee published on this page is what a client in Colebatch pays and what a client in any other part of Wales pays. It is confirmed in writing before work starts and the invoice matches the quote. Where a higher package applies because your situation is more complex, we say so at the quote stage, never afterwards.

Do you have an office in Colebatch?

No. IGI Accounting is an online-only firm. We serve Colebatch and every other UK postcode remotely, with records sent by WhatsApp or email and everything filed electronically. The absence of local premises is why the fee for limited company accounts is the same in Colebatch as anywhere else in the country, and why there is nothing to visit and nothing to print.
