Why IGI

Why Cog businesses file with IGI

No hourly rate and no surprise invoice. Cog clients know the fee for company formation before they send a single document, and it stays fixed.

Deadline-first: the dates that matter for company formation are shown at the top of this page, diarised for every Cog client and chased before they arrive.

Online only, UK based. There is no office in Cog to pay for, which is why the fee is the same here as anywhere in Wales; the work is done by people in the UK who answer the same day.

You get one contact for company formation, not a queue. Cog clients message the same person throughout and get an answer in working hours, usually within a few hours.

We explain company formation in the words Cog business owners use, not in accountant's shorthand, and we show our working so you can check it.

You stay in control of company formation: drafts go to Cog clients first, with the figures explained, and nothing leaves us until you say so.

About Cog

Cog is in Wales, Wales. Businesses in Wales file with the same HMRC and Companies House as England, and for now the Welsh rates of income tax equal the English ones, though the Senedd can vary them. The practical differences are Land Transaction Tax on property and Welsh-specific business support schemes, and company names and documents may be in Welsh.

Worth knowing

Rules that come up in this work

The 60-day property CGT return

Since April 2020 a gain on UK residential property must be reported and the tax paid within 60 days of completion through HMRC's dedicated service, separately from the annual return. Non-residents must report all UK land disposals in the same window whether or not tax is due. Getting the computation right first time matters because the figure is then carried into the Self Assessment.

Crypto records and reporting

Most crypto holders have taxable events they do not recognise, because every swap is a disposal even when no pounds change hands. The computation requires the complete transaction history from every exchange and wallet, pooled by asset with HMRC's matching rules applied. Exchange-generated tax reports are frequently wrong because they cannot see transfers between a user's own wallets.

Allowable expenses

The expenses sole traders most often miss are home working costs, claimed by actual proportion or HMRC's flat rate, the business share of phone and internet, mileage at 45p for the first 10,000 business miles, and training that maintains existing skills. The ones most often claimed wrongly are commuting, entertaining customers and clothes that could be worn outside work.

Record keeping

Record keeping is a legal obligation with a penalty of up to £3,000 for failure, but its real value is in making every other filing cheaper and more defensible. Keep invoices, receipts, bank statements, mileage logs and any HMRC correspondence, digitally if you like, for five years after the relevant filing deadline for individuals and six years for companies and VAT.

Workplace pensions and auto-enrolment

Every employer must assess its workers for automatic enrolment from the first employee's start date. Those aged 22 to State Pension age earning over £10,000 a year must be enrolled into a qualifying pension with minimum contributions of 8% of qualifying earnings, at least 3% from the employer, and a declaration of compliance made to the Pensions Regulator within five months.

Employer National Insurance

The cost of an employee is more than the salary. Employer National Insurance at 15% above £5,000 a year, the 3% minimum pension contribution, holiday pay, equipment and management time all come on top. The Employment Allowance of £10,500 reduces the National Insurance for most employers with more than one person on the payroll.

The trading and property allowances

Small side incomes are covered by two £1,000 allowances, one for trading and one for property, which remove the need to register or report income below that level. Once income exceeds £1,000, the allowance can be used in place of expenses, a choice worth making deliberately: a freelancer with £900 of costs is better off with the allowance, one with £3,000 is not.

Questions

Company Formation questions from Cog

When should I register for VAT and PAYE?

VAT when taxable turnover will exceed £90,000 in a rolling 12 months, or voluntarily before if it helps. PAYE before the first salary payment, including to yourself as director. Both are included in the £99 package or available separately at £49 each.

Does the company need to register for Corporation Tax?

Yes, within three months of starting to trade. HMRC usually issues the company's Unique Taxpayer Reference by post shortly after incorporation. Registration for Corporation Tax is included in our £99 package and above; the formation-only package leaves it to you, and we tell you how.

What is a SIC code and which one do I need?

The Standard Industrial Classification code describes what the company does and appears on the public register. You can have up to four. We pick the right ones from the official list for your trade. Changing them later is done through the confirmation statement, which is our £39 SIC change service.

What share structure should I have?

For a single founder, one ordinary share of £1 is usual. For two or more, the split should reflect the agreed ownership and may use different share classes to allow different dividend payments. We discuss this before filing, because changing it later needs resolutions and filings. We also advise on whether a shareholders' agreement is worth having.

Can I use my home address?

You can, but it becomes public on the Companies House register as the registered office and as your service address. Most founders prefer not to. Our registered office service at £69 a year provides a London address for official post, and the £149 formation package includes the first year.

Do directors need to verify their identity?

Yes. Since 18 November 2025 every new director and person with significant control must verify their identity with Companies House before or at incorporation, through GOV.UK One Login or an authorised agent. We tell you exactly how to do it and check that the verification is linked before we file.

How do I get started from Cog?

Message us on WhatsApp or email with a sentence about your business and what you need. We reply in working hours with any questions and a fixed fee for company formation. Once you confirm, we tell you exactly which records to send and the work begins. Most Cog clients are set up within a day.

Which deadlines matter most for company formation?

The next four dates that apply to company formation are shown at the top of this page, calculated from today. For Cog clients we diarise every one of them from the day you join and send reminders before each, so the work is done in good time rather than in the last week before a penalty.
