Company Formation from Bolton, step by step

  1. Tell us your situation

A short message or call about what you do and what needs filing. We ask the questions that determine the right package and nothing more.

  2. Fixed fee in writing

You receive one price for the work, confirmed by email before anything starts. It does not change if the job takes longer than we expected.

  3. Send records, review the draft

Records come by WhatsApp or email. We prepare the draft, explain the figures in plain English and answer your questions.

  4. We file, you get the receipts

Why IGI

The IGI way of working, in Bolton

No hourly rate and no surprise invoice. Bolton clients know the fee for company formation before they send a single document, and it stays fixed.

We work to the HMRC and Companies House calendar, not an appointment diary. Clients in Bolton get reminders at 60, 30 and 7 days before each date that applies to company formation.

Online only, UK based. There is no office in Bolton to pay for, which is why the fee is the same here as anywhere in England; the work is done by people in the UK who answer the same day.

Continuity matters in company formation: the person who prepared last year's work for your Bolton business prepares this year's, and remembers what was agreed.

Plain English, with the numbers. Every draft for Bolton comes with a short explanation of what the figures mean and what, if anything, you should do about them.

You stay in control of company formation: drafts go to Bolton clients first, with the figures explained, and nothing leaves us until you say so.

Worth knowing

Rules that come up in this work

Switching accountants

You can switch accountant at any point in the year. The new firm requests clearance and your records from the old one, which cannot withhold your own documents though it may hold its own working papers until its fees are settled. Agent authorisations with HMRC and Companies House are transferred, and the next deadline is picked up without a gap.

Closing a company

Striking off a company is cheap but must be done in order: stop trading, file the final accounts and CT600, pay the tax, close VAT and PAYE, distribute the remaining assets, close the bank account, then apply. Anything left in the company at dissolution passes to the Crown. Distributions up to £25,000 are taxed as capital gains; above that a formal liquidation is usually needed to keep capital treatment.

Dormant companies

Dormancy is a status that is easy to lose. The strict rule is no accounting transactions other than share capital and Companies House fees, which means no bank account activity at all in practice. Fees should be paid personally by the director. A company that traded and has stopped becomes dormant only after its final trading accounts and tax return are filed and HMRC is told.

The trading and property allowances

Not every small income needs a tax return. The trading allowance exempts the first £1,000 of self-employment or casual income and the property allowance does the same for rental income, each measured on gross receipts. They cannot be combined with rent-a-room relief on the same income, and claiming the allowance means giving up the expense deduction for that source.

Employer National Insurance

Since April 2025 employer National Insurance has been 15% on earnings above a £5,000 secondary threshold, a substantial increase for small employers. The Employment Allowance rose to £10,500 at the same time to soften it for the smallest businesses. Directors deciding their own salary weigh this cost against the Corporation Tax deduction a salary provides.

Workplace pensions and auto-enrolment

Every employer must assess its workers for automatic enrolment from the first employee's start date. Those aged 22 to State Pension age earning over £10,000 a year must be enrolled into a qualifying pension with minimum contributions of 8% of qualifying earnings, at least 3% from the employer, and a declaration of compliance made to the Pensions Regulator within five months.

Record keeping

HMRC requires records of all income and expenses, bank statements, invoices and receipts to be kept for at least five years after the 31 January filing deadline of the tax year they relate to, and companies must keep records for six years from the end of the accounting period. Digital copies are acceptable. Under Making Tax Digital the records must be kept in compatible software.

Questions

Company Formation questions from Bolton

Can you form a company limited by guarantee or a dormant company?

Yes. Companies limited by guarantee, used by clubs, charities and community groups, are £49 with bespoke objects at £99. Dormant company formation, for protecting a name or holding a future business, is £29. Both carry the £100 Companies House fee and both have their own service pages.

What is the difference between a limited company and a sole trader?

A company is a separate legal person: it owns the business, owes the debts and pays Corporation Tax, and you take income as salary and dividends. A sole trader is personally liable and pays income tax on all profits. Companies cost more to run but can save tax at higher profits and protect personal assets. Our free comparison tool shows the numbers.

What share structure should I have?

For a single founder, one ordinary share of £1 is usual. For two or more, the split should reflect the agreed ownership and may use different share classes to allow different dividend payments. We discuss this before filing, because changing it later needs resolutions and filings. We also advise on whether a shareholders' agreement is worth having.

What is a SIC code and which one do I need?

The Standard Industrial Classification code describes what the company does and appears on the public register. You can have up to four. We pick the right ones from the official list for your trade. Changing them later is done through the confirmation statement, which is our £39 SIC change service.

Does the company need to register for Corporation Tax?

Yes, within three months of starting to trade. HMRC usually issues the company's Unique Taxpayer Reference by post shortly after incorporation. Registration for Corporation Tax is included in our £99 package and above; the formation-only package leaves it to you, and we tell you how.

When should I register for VAT and PAYE?

VAT when taxable turnover will exceed £90,000 in a rolling 12 months, or voluntarily before if it helps. PAYE before the first salary payment, including to yourself as director. Both are included in the £99 package or available separately at £49 each.

Which deadlines matter most for company formation?

The next four dates that apply to company formation are shown at the top of this page, calculated from today. For Bolton clients we diarise every one of them from the day you join and send reminders before each, so the work is done in good time rather than in the last week before a penalty.
